國際項目咨詢服務合同范本中英文國際項目咨詢服務合同范本（中英文）InternationalProjectConsultancyServiceContractTemplate合同編號（ContractNo）：簽訂日期（DateofSigning）：甲方（PartyA）：地址（Address）：聯系人（ContactPerson）：電話（Phone）：電子郵箱（Email）：乙方（PartyB）：地址（Address）：聯系人（ContactPerson）：電話（Phone）：電子郵箱（Email）：鑒于甲方擁有豐富的項目咨詢經驗，乙方有意在項目咨詢領域尋求其服務，為確保合同的正當性和有效性，各方經友好協商并遵守法律法規和相關管理規定，達成如下合作意向：1.項目描述1.1甲方將為乙方提供項目咨詢服務，包括但不限于市場調研、項目規劃、風險評估、財務咨詢和項目實施等。1.2項目的具體內容以雙方簽訂的項目咨詢服務協議為準。2.服務費用與支付方式2.1乙方應按照雙方約定的價格支付項目咨詢服務費用。2.2乙方應于簽署本合同后的30天內支付服務費用的50%作為預付款，剩余部分應在項目咨詢服務完成后的30天內支付清算。3.版權及知識產權3.1在項目咨詢服務過程中，甲方獨立享有項目咨詢報告及相關成果的版權和知識產權。3.2未經甲方許可，乙方不得將項目咨詢報告及相關成果用于商業目的或向第三方泄露。4.保密條款4.1乙方在接受甲方的項目咨詢服務過程中，應對甲方提供的商業和技術信息保密，不得泄露給任何第三方。4.2保密期限自合同終止之日起，為期5年。5.免責條款5.1由于乙方自身原因導致的項目咨詢服務延期或中斷，乙方應承擔相應責任和損失。5.2如果由于不可抗力因素導致項目咨詢服務無法繼續進行，雙方可根據實際情況協商解決。6.違約與解除6.1如一方違反本合同的任何條款，未能履行其義務，對方有權通知違約方并要求其在30天內改正。如違約方在改正期限內仍未改正，則對方有權解除合同。6.2在解除合同后，乙方應支付已提供的項目咨詢服務費用，并返還甲方已收取的未履行的服務費用。7.爭議解決7.1雙方在履行合同過程中如有爭議應友好協商解決。協商不成的，可向有管轄權的仲裁機構提交仲裁申請。7.2仲裁裁決對雙方具有約束力。8.合同變更與終止8.1雙方如需變更本合同的任何條款，應經雙方協商一致，并以書面形式進行。8.2本合同在項目咨詢服務完成后自動終止。本合同一式兩份，甲乙雙方各執一份，具有同等法律效力。甲方（PartyA）：乙方（PartyB）：簽字（Signature）：簽字（Signature）：日期（Date）：日期（Date）：-----------------------------------------------------------------------------------------------------------------------------------ContractNo:DateofSigning:PartyA:Address:ContactPerson:Phone:Email:PartyB:Address:ContactPerson:Phone:Email:WhereasPartyApossessesabundantexperienceinprojectconsultancy,andPartyBintendstoseekitsservicesinthefieldofprojectconsultancy,inordertoensurethelegalityandvalidityofthecontract,thepartieshavereachedthefollowingcooperationintentionthroughfriendlynegotiationandcompliancewithlaws,regulations,andrelevantmanagementrules:1.ProjectDescription1.1PartyAwillprovideprojectconsultancyservicestoPartyB,includingbutnotlimitedtomarketresearch,projectplanning,riskassessment,financialconsultancy,andprojectimplementation.1.2ThespecificcontentoftheprojectshallbesubjecttotheProjectConsultancyServiceAgreementsignedbybothparties.2.ServiceFeesandPaymentMethod2.1PartyBshallpaytheprojectconsultancyservicefeesasagreeduponbetweentheparties.2.2PartyBshallmakeapaymentof50%oftheservicefeesasaprepaymentwithin30daysaftersigningthiscontract,andtheremainingamountshallbepaidwithin30daysafterthecompletionoftheprojectconsultancyservice.3.CopyrightandIntellectualPropertyRights3.1Duringtheprocessofprojectconsultancyservice,PartyAindependentlyownsthecopyrightandintellectualpropertyrightsofprojectconsultancyreportsandrelatedoutcomes.3.2WithoutPartyA'spermission,PartyBshallnotusetheprojectconsultancyreportsandrelatedoutcomesforcommercialpurposesordisclosethemtoanythirdparty.4.ConfidentialityClause4.1PartyBshallmaintaintheconfidentialityofthecommercialandtechnicalinformationprovidedbyPartyAduringtheprojectconsultancyserviceandshallnotdiscloseittoanythirdparty.4.2Theconfidentialityperiodshallbe5yearsfromtheterminationdateofthecontract.5.ExemptionClause5.1IftheprojectconsultancyserviceisdelayedorinterruptedduetoPartyB'sownreasons,PartyBshallbearthecorrespondingresponsibilityandlosses.5.2Iftheprojectconsultancyservicecannotcontinueduetoforcemajeurefactors,thepartiesmayresolveitthroughconsultationbasedontheactualsituation.6.BreachandTermination6.1Ifeitherpartyviolatesanyofthetermsofthiscontractandfailstofulfillitsobligations,theotherpartyhastherighttonotifythedefaultingpartyandrequestittorectifywithin30days.Ifthedefaultingpartyfailstorectifywithinthetimelimit,theotherpartyhastherighttoterminatethecontract.6.2Aftertheterminationofthecontract,PartyBshallpayfortheprovidedprojectconsultancyservicesandrefundanyunperformedservicefeesreceivedbyPartyA.7.DisputeResolution7.1Intheeventofadisputebetweenthepartiesduringtheperformanceofthecontract,theyshallseekafriendlynegotiationtoresolveit.Ifthenegotiationfails,eitherpartymaysubmitanarbitrationapplicationtoanarbitrationinstitutionwithjurisdiction.7.2Thearbitrationawardshallbebindingonbothparties.8.ContractAmendmentandTermination8.1Ifeitherpartyneedstoamendanytermsofthiscontract,itshouldbeagreeduponthroughmutualconsultationandinwriting.8.2Thiscontractshallautomaticallyterminateuponthecompletionoftheprojectconsultancyservic
