1.SaleandPurchaseofTargetAssets

1.1Subjecttothetermsandconditionssetforthherein,CompanyAagreestopurchasefromCompanyB,andCompanyBagreestoselltoCompanyA,theTargetAssets,onthefollowingtermsandconditions:

a.ThepurchasepricefortheTargetAssetsshallbe[PurchasePrice](hereinafterreferredtoasthe"PurchasePrice").

b.ThePurchasePriceshallbepaidbyCompanyAtoCompanyBwithin[PaymentTerms]daysfromthedateofthisAgreement.

c.ThePurchasePriceshallbepaidin[PaymentMethod](e.g.,cash,checks,wiretransfer).

1.2CompanyAshallassumeandagreetopayallliabilitiesandobligationsofCompanyBrelatedtotheTargetAssets,includingbutnotlimitedtoaccountspayable,salaries,andotherobligations.

2.RepresentationsandWarranties

2.1CompanyArepresentsandwarrantsthat:

a.Itisacorporationorganizedandexistingunderthelawsof[Country/State],withthenecessaryauthoritytoenterintothisAgreement.

b.IthasthefinancialabilitytopaythePurchasePriceandassumetheliabilitiesandobligationsofCompanyBrelatedtotheTargetAssets.

2.2CompanyBrepresentsandwarrantsthat:

a.Itisacorporationorganizedandexistingunderthelawsof[Country/State],withthenecessaryauthoritytoenterintothisAgreement.

b.TheTargetAssetsarefreeandclearofanyliens,encumbrances,orotherrestrictions.

3.CovenantsandAgreements

3.1CompanyAagreestomaintaintheTargetAssetsingoodconditionandtousetheminaccordancewiththeirintendedpurpose.

3.2CompanyBagreestoprovideCompanyAwithallnecessaryinformationandassistancetofacilitatethetransferoftheTargetAssets.

4.Confidentiality

4.1ThepartiesagreetokeepconfidentialallinformationdisclosedtothembytheotherpartyinconnectionwiththisAgreement,exceptasrequiredbylaworcourtorder.

5.GoverningLawandJurisdiction

5.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].

5.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

6.EntireAgreement

3.RightsandObligationsofThirdPartyB

3.2ThirdPartyBshallbeentitledtoreceiveafeeof[FeeAmount](hereinafterreferredtoasthe"SupportFee")foritsservices.

3.3ThirdPartyBshallcomplywithallapplicablelawsandregulationsandshallnotengageinanyconductthatmayadverselyaffectCompanyA'sbusiness.

4.RightsofCompanyA

4.1CompanyAshallhavetherighttoapproveorrejectanyrecommendationsmadebyThirdPartyAorThirdPartyB.

4.2CompanyAshallhavetherighttoterminatethisAgreement,inwholeorinpart,upon[TerminationConditions].

4.3CompanyAshallhavetherighttoreceiveallbenefitsandadvantagesresultingfromtheacquisitionoftheTargetAssets.

5.LimitationsandRestrictionsonCompanyB

5.1CompanyBshallnot,withoutthepriorwrittenconsentofCompanyA,enterintoanyagreementortransactionthatmayadverselyaffecttheTargetAssetsorCompanyA'sinterests.

5.2CompanyBshallnot,duringthetermofthisAgreement,solicitorinduceanyemployeeoftheTargetAssetstoleavetheiremploymentortoengageinanycompetingactivity.

6.DefaultandRemedies

6.1IntheeventofabreachofanytermorconditionofthisAgreementbyCompanyB,CompanyAshallhavetherighttoterminatethisAgreementandseekappropriateremedies,includingbutnotlimitedtodamagesandspecificperformance.

7.GoverningLawandJurisdiction

7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].

7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

5.LimitationsandRestrictionsonCompanyA

5.2CompanyAshallnot,duringthetermofthisAgreement,solicitorinduceanyemployeeoftheTargetAssetstoleavetheiremploymentortoengageinanycompetingactivity.

6.DefaultandRemedies
