2025年廣東省簡易服務合同范本ContractNo.:DateofSigning:PlaceofSigning:ThisServiceContract("Contract")isenteredintoasofbyandbetween:PartyA:(hereinafterreferredtoas"ServiceProvider")NameofEntity:Address:ContactInformation:LegalRepresentative:Title:PartyB:(hereinafterreferredtoas"Client")NameofEntity:Address:ContactInformation:LegalRepresentative:Title:Recitals:WHEREAS,ServiceProviderisengagedinprovidingprofessionalserviceswithinthefieldof;ANDWHEREAS,Clientrequiresservices("Services")fromServiceProviderfor;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:1.ServicestobeProvidedServiceProvidershallprovidethefollowingservicestoClient:1.1.1.2.1.3.TheServicesshallbeexecutedinaccordancewiththetermsandconditionssetforthinthisContract.2.ServiceTermTheServicesshallbeprovidedfrom(the"StartDate")until(the"EndDate"),unlessotherwiseterminatedinaccordancewiththetermsofthisContract.3.ServiceFees3.1.Thetotalfees("Fees")fortheServicesshallbe(RMB).3.2.PaymentTerms:ClientshallpaytheFeesasfollows:(FirstPayment):(SecondPayment):(FinalPayment):3.3.AllpaymentsshallbemadeinRMB,transferabletothefollowingaccount:BankName:AccountHolder:AccountNumber:3.4.ServiceProvidershallissueaninvoicetoClientuponreceiptofeachpayment.4.RightsandObligationsoftheParties4.1.ObligationsofServiceProvider4.1.1.ServiceProvidershallensurethattheServicesareprovidedinaprofessional,efficient,andworkmanlikemanner.4.1.2.ServiceProvidershallmaintainallnecessarylicenses,certifications,andinsurancetoperformtheServices.4.1.3.ServiceProvidershallcomplywithallapplicablelaws,regulations,andstandardsduringtheperformanceoftheServices.4.2.ObligationsofClient4.2.1.Clientshallprovideallnecessaryinformation,materials,andassistancetoServiceProvidertoenabletheServicestobeperformedeffectively.4.2.2.ClientshallpaytheFeesinfullandontimeasspecifiedinSection3.4.2.3.ClientshallnotifyServiceProviderofanychangesinitsrequirementsorinstructionspromptlyandinwriting.5.QualityandAcceptanceofServices5.1.TheServicesshallbedeemedacceptableiftheymeetthefollowingcriteria:5.1.1.CompliancewiththespecificationsandrequirementssetforthinthisContract.5.1.2.AchievementoftheintendedpurposeoftheServicesasagreeduponbybothparties.5.2.ClientshallnotifyServiceProviderinwritingofanydefectsorshortcomingswithindaysafterthecompletionoftheServices.5.3.ServiceProvidershallrectifyanydefectsorshortcomingsasrequiredbyClientwithindaysofreceiptofthewrittennotice.6.PaymentTerms6.1.AllpaymentsshallbemadeinaccordancewiththepaymentscheduleoutlinedinSection3.6.2.IfClientfailstomakeapaymentontime,ServiceProvidermaychargealatefeeofperdayontheunpaidamount.7.LiabilityforBreachofContract7.1.IfeitherpartyfailstoperformitsobligationsunderthisContract,itshallbeliableforanylossesordamagessufferedbytheotherpartyasaresultofsuchfailure,providedthatsuchfailureisattributabletothe過錯ofthebreachingparty.7.2.Incaseofamaterialbreach,thenon-breachingpartymayterminatethisContractandclaimdamages.7.3.Theliabilityofeitherpartyshallbelimitedtothedirectdamagesresultingfromthebreachandshallnotincludeanyindirect,incidental,orCONSEQUENTIALDAMAGES.8.ForceMajeure8.1.IfeitherpartyispreventedorhinderedfromperformingitsobligationsunderthisContractduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,governmentacts,orpandemics,suchobligationsshallbesuspendedduringtheperiodoftheforcemajeureevent.8.2.Theaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceofaforcemajeureeventandmakereasonableeffortstomitigatetheimpactofsuchevent.9.AmendmentsandTermination9.1.AnyamendmentstothisContractmustbemadeinwritingandsignedbybothparties.9.2.EitherpartymayterminatethisContractwithdays'writtennoticetotheotherpartyiftheotherpartyfailstoremedyanymaterialbreachwithindaysofreceivingthenotice.9.3.Upontermination,bothpartiesshallsettlealloutstandingobligationsandpaymentsinaccordancewiththetermsofthisContract.10.DisputeResolution10.1.AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough友好協商bytheparties.10.2.Ifthedisputescannotberesolvedthrough協商,eitherpartymayinitiatelegalproceedingsinthecourtsof.11.GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.12.Miscellaneous12.1.ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriororcontemporaneousagreements,representations,orunderstandings,whetherwrittenororal.12.2.AnywaiverofanyprovisionofthisContractshallnotoperateasawaiverofanyotherprovision.12.3.ThefailureofapartytoenforceanyprovisionofthisContractshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.12.4.Eachpar
