2025商務英語合同中索賠英語常用句型PartiesandBackgroundThisContract(hereinafterreferredtoasthe"Agreement")isenteredintoasof(the"EffectiveDate")byandbetween(the"PartyA")and(the"PartyB"),whoseprincipalplacesofbusinessarelocatedatand,respectively.BothPartiesacknowledgeandagreethatthisAgreementgovernsthetermsandconditionsunderwhichPartyAshallprovide(hereinafterreferredtoasthe"Goodsand/orServices")toPartyB,andPartyBshallpayforthesameasstipulatedherein.ScopeofGoodsand/orServices1.1Goodsand/orServicesDescriptionPartyAagreestosupplytoPartyBthefollowingGoodsand/orServices:Description:Quantity:Specifications:DeliveryDate:1.2QualityStandardsTheGoodsand/orServicesshallcomplywiththefollowingqualityandtechnicalstandards:1.3PaymentTermsPartyBshallpayPartyAtheamountof(hereinafterreferredtoasthe"TotalAmount")inaccordancewiththepaymentscheduleoutlinedinSection__.WarrantiesandRepresentations2.1MutualWarrantiesEachPartywarrantsthatithasthelegalauthoritytoenterintothisAgreementandthatitsperformancehereundershallnotviolateanyapplicablelawsorregulationsortherightsofanythirdparty.2.2Goodsand/orServicesWarrantyPartyAwarrantsthattheGoodsand/orServicesdeliveredunderthisAgreementshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof(the"WarrantyPeriod")fromthedateofdelivery.2.3CompliancePartyAagreestoensurethatallGoodsand/orServicesprovidedhereundercomplywithallapplicablelaws,regulations,andinternationalstandards.IndemnificationandLiability3.1Indemnification3.1.1PartyAshallindemnify,defend,andholdharmlessPartyBagainstanyandallclaims,demands,losses,damages,liabilities,costs,andexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforresultingfromanyclaimofbreachofwarrantyorfailureoftheGoodsand/orServicestomeetthestandardsspecifiedinthisAgreement.3.1.2PartyBshallindemnify,defend,andholdharmlessPartyAagainstanyandallclaims,demands,losses,damages,liabilities,costs,andexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforresultingfromanyclaimofbreachofcontract,negligence,orfailuretocomplywithapplicablelawsorregulationsbyPartyB.3.2LimitationofLiabilityNeitherPartyshallbeliableforanyindirect,incidental,orconsequentialdamages(including,withoutlimitation,lostprofits,businessinterruption,orlossofgoodwill)arisingoutoforrelatedtothisAgreement.ClaimsandDisputes4.1NoticeofClaim4.1.1IfeitherPartybelievesthattheotherPartyhasbreachedanytermorconditionofthisAgreement,thePartyclaimingbreach(hereinafterreferredtoasthe"Claimant")shallpromptlynotifytheotherParty(the"Respondent")inwritingofthenatureofthebreachandthefactsallegedtoconstitutethebreach.4.1.2TheNoticeofClaimshallbedeliveredtotheRespondent'saddressasspecifiedinthisAgreementorsuchotheraddressastheRespondentmayfromtimetotimedesignateinwriting.4.1.3TheRespondentshallhavedaysfromthedateofreceiptoftheNoticeofClaimtoinvestigateandrespondtotheclaim.4.2SettlementofDisputes4.2.1IfthePartiesareunabletoresolvethedisputethrough友好協商withindaysoftheNoticeofClaim,eitherPartymayreferthematterto(e.g.,anarbitratororacourtofcompetentjurisdiction)forresolution.4.2.2ThePartiesagreetoabidebythedecisionofthearbitrationbodyorcourtandtopaythecostsofarbitrationorlitigationasdirected.TerminationandDefault5.1TerminationforBreachEitherPartymayterminatethisAgreementiftheotherPartycommitsamaterialbreachofanytermorconditionhereofandfailstocuresuchbreachwithindaysafterreceivingwrittennoticethereof.5.2EffectofTerminationUpontermination,allobligationsofbothPartiesunderthisAgreementshallceaseimmediately.However,thefollowingprovisionsshallsurvivetermination:.GoverningLawandJurisdiction6.1GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof.6.2JurisdictionAnylegalactionorproceedingarisingoutoforrelatingtothisAgreementshallbebroughtinthecourtsof.Miscellaneous7.1EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallpriorunderstandings,representations,oragreements,whetheroralorwritten,betweenthePartiesrelatingtothesubjectmatterhereof.7.2AmendmentsNoamendmentormodificationofthisAgreementshallbevalidunlessmadeinwritingandsignedbybothParties.7.3SeverabilityIfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.7.4CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.7.5NoticesAllno
