ThisClubAgreementContractStandardText(hereinafterreferredtoasthe"Contract")isherebyenteredintobyandbetweenthefollowingparties:

WHEREAS,PartyAiswillingtoprovidecertainfacilities,services,andopportunitiestoPartyBforthepurposeofengaginginrecreationalactivities,socializing,andparticipatinginvariousclubevents;
ANDWHEREAS,PartyBdesirestobecomeamemberoftheclubandutilizetheaforementionedfacilities,services,andopportunities;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:
1.MembershipandFees
1.1PartyBshallbecomeamemberoftheclubuponpaymentoftherequiredmembershipfeesasspecifiedintheattachedScheduleofFees.
1.2ThemembershipfeesaresubjecttochangeuponpriornoticetoPartyB.
2.ClubFacilitiesandServices
2.1PartyBshallhaveaccesstotheclub'sfacilities,includingbutnotlimitedtotheswimmingpool,gym,tenniscourts,andrecreationalrooms.
2.2PartyBshallbeentitledtousetheclub'sservices,includingbutnotlimitedtofitnessclasses,personaltraining,anddiningfacilities.
2.3Theclubreservestherighttomodifyorwithdrawanyfacilitiesorservicesatitssolediscretion.
3.ClubRulesandRegulations
3.1PartyBagreestocomplywithallrulesandregulationsestablishedbytheclub.
3.2Theclubreservestherighttoenforceanyruleorregulationdeemednecessaryforthesafety,order,andenjoymentofallmembers.
4.MembershipTermination
4.1PartyBmayterminatethisContractatanytimebyprovidingwrittennoticetotheclub.
4.2TheclubmayterminatethisContractimmediatelyuponbreachofanytermorconditionhereinbyPartyB.
4.3UponterminationofthisContract,PartyBshallbeliableforanyoutstandingfeesorchargesincurredpriortotermination.
5.Indemnification
5.1PartyBagreestoindemnify,defend,andholdharmlesstheclub,itsofficers,directors,employees,andagentsfromandagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwithPartyB'suseoftheclub'sfacilities,services,orparticipationinclubevents.
6.GoverningLawandJurisdiction
6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
6.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
INWITNESSWHEREOF,thepartiesheretohaveexecutedthisClubAgreementContractStandardTextasofthedatefirstabovewritten.

WHEREAS,PartyAoperatesaclubthatprovidesvariousfacilities,services,andopportunitiesforsocialandrecreationalactivities(hereinafterreferredtoasthe"ClubFacilities");
WHEREAS,PartyBdesirestobecomeamemberoftheClubandutilizetheClubFacilities;
WHEREAS,PartyCisengagedinthebusinessofmanagingandoperatingclubs,andisauthorizedbyPartyAtomanagetheClubFacilitiesonitsbehalf(hereinafterreferredtoas"theManagementServices");
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:
1.MembershipandFees
1.1PartyBshallbecomeamemberoftheClubuponpaymentoftherequiredmembershipfeesasspecifiedintheattachedScheduleofFees.
1.2PartyAreservestherighttoincreasethemembershipfeesuponpriornoticetoPartyB,providedsuchincreasedoesnotexceedareasonablepercentage.
1.3PartyBshallhavetherighttoreceiveadiscountoncertainservicesandeventsofferedbytheClub.
2.ClubFacilitiesandServices
2.1PartyBshallhaveaccesstotheClubFacilitiesandshallbeentitledtousetheservicesprovidedbytheClub,includingbutnotlimitedtofitnessclasses,personaltraining,anddiningfacilities.
2.2PartyAshallhavetherighttomodifyorwithdrawanyClubFacilitiesorServicesuponreasonablenoticetoPartyB.
3.PartyC'sResponsibilities
3.1PartyCshallmanagetheClubFacilitiesinaccordancewiththestandardsandspecificationsagreeduponwithPartyA.
3.2PartyCshallensurethesafetyandsecurityoftheClubFacilitiesandshallcomplywithallapplicablelawsandregulations.
3.3PartyCshallprovidePartyAwithregularreportsonthemanagementoftheClubFacilitiesandshallmaintainaccuraterecordsofalltransactionsandactivities.
4.PartyC'sRightsandLiabilities
4.1PartyCshallhavetherighttoenterintocontractswiththirdpartiesforthesupplyofgoodsandservicesnecessaryfortheoperationoftheClubFacilities.
4.2PartyCshallbeliableforanydamagesorlossesincurredbyPartyAortheMemberasaresultofPartyC'sfailuretoperformitsobligationsunderthisAgreement.
5.PartyB'sObligationsandLimitations
5.1PartyBshallcomplywithallrulesandregulationsestablishedbytheClubandshallnotusetheClubFacilitiesforanyillegalorunauthorizedpurposes.
5.2PartyBshallnottransferorassignitsmembershiprightswithoutthepriorwrittenconsentofPartyA.
5.3PartyBshallnotholdPartyAliableforanypersonalinjuriesorpropertydamagethatmayoccurwhileusingtheClubFacilities.
6.違約及限制條款
6.1IfPartyBfailstopaythemembershipfeeswithinthestipulatedtimeframe,PartyAshallhavetherighttoterminatethemembershipandrecoveranyoutstandingfees.
6.2PartyBshallnotusetheClubFacilitiesforanycommercialpurposeswithoutthepriorwrittenconsentofPartyA.
6.3PartyBshallnotengageinanyactivitythatmaydisruptthenormaloperationoftheClubFacilitiesorcauseharmtoothermembers.
7.GoverningLawandJurisdiction
7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

1.2TheManagershallfacilitatetheexecutionoftheleaseagreementbetweentheOwnerandtheTenant,ensuringcompliancewithallapplicablelawsandregulations.
2.Manager'sResponsibilities
2.1TheManagershallberesponsiblefortheday-to-daymanagementoftheProperty,includingmaintenance,repairs,andensuringthePropertyiskeptingoodcondition.
2.2TheManagershallprovideregularreportstotheOwnerontheconditionofthePropertyandanyissuesthatarise.
3.Manager'sRightsandLiabilities
3.1TheManagershallhavetherighttoenterthePropertyforthepurposeofinspecting,maintaining,orrepairingtheProperty.
3.2TheManagershallbeliableforanydamagescausedtothePropertyasaresultofitsnegligenceorfailuretoperformitsdutiesproperly.
4.Tenant'sRightsandInterests
4.1TheTenantshallhavetherighttooccupyandusethePropertyduringtheLeaseTermforthepurposesagreeduponintheleaseagreement.
4.2TheTenantshallhavetherighttorequestnecessaryrepairsormaintenancefromtheManagerwithinareasonabletimeframe.
4.3TheTenantshallhavetherighttoreceivearefundofanysecuritydepositattheendoftheLeaseTerm,providedtherearenooutstandingchargesordamages.
5.Tenant'sObligationsandLimitations
5.1TheTenantshallcomplywithalltermsandconditionsoftheleaseagreementandanyrulesandregulationsestablishedbytheManager.
5.2TheTenantshallnotsublet,assign,ortransfertheleasewithoutthepriorwrittenconsentoftheOwnerandtheManager.
5.3TheTenantshallnotusethePropertyforanyillegalorunauthorizedpurposes.
6.違約及限制條款
6.1IftheManagerfailstomaintainthePropertyinahabitablecondition,theTenantshallhavetherighttoterminatetheleaseagreementandseekarefundofanyrentpaidinadvance.
6.2IftheTenantbreachestheleaseagreement,theManagershallhavetherighttotakeappropriateaction,includingbutnotlimitedtoseekingdamagesoreviction.
7.GoverningLawandJurisdiction
7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
