?ThisInvestmentAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetweenthefollowingparties:

I.Recitals

1.Companyisengagedinthebusinessof[describethebusinessscopeofthepany],andisseekinginvestmenttosupportitsbusinessexpansion,productdevelopment,andotheroperationalactivities.

2.InvestorhasthefinancialresourcesandinvestmentintentiontoinvestinCompanyandparticipateinitsdevelopment.

II.InvestmentDetails

A.InvestmentAmount

Investoragreestoinvesttheamountof[investmentamountinfiguresandwords](the"Investment")inCompanyintheformof[equity/debt/otherform].

B.ValuationandShareholding

BasedonthevaluationofCompanyat[valuationamount],Investor'sInvestmentshallentitleInvestorto[percentage]oftheequityinterestsinCompanyafterthepletionoftheinvestment.

C.PaymentTerms

InvestorshallmaketheInvestmentin[number]installmentsasfollows:

III.RightsandObligationsoftheParties

A.RightsofInvestor

1.EquityRights:InvestorshallhavetherightsandinterestsattachedtotheequityinterestsacquiredpursuanttothisAgreement,includingbutnotlimitedtotherighttoreceivedividends,participateinthedecisionmakingprocessofCompany,andexercisevotingrightsinaccordancewithapplicablelawsandtheArticlesofAssociationofCompany.

2.InformationRights:InvestorshallhavetherighttoreceivefromCompanyonaregularbasisanduponrequest,allfinancialstatements,businessplans,managementreports,andotherinformationnecessaryforInvestortomonitorthefinancialconditionandbusinessoperationsofCompany.

3.InspectionRights:InvestorshallhavetherighttoinspectCompany'sbooksandrecords,facilities,andoperationsuponreasonablenoticetoCompany.

B.ObligationsofInvestor

1.PaymentObligation:InvestorshallpaytheInvestmentinaccordancewiththepaymenttermsandconditionssetforthinthisAgreement.

2.ConfidentialityObligation:InvestorshallkeepconfidentialallinformationobtainedfromCompanyduringthecourseofthisinvestment,includingbutnotlimitedtotradesecrets,businessplans,andfinancialinformation,andshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofCompany,exceptasrequiredbylaw.

3.NonCompeteObligation:DuringthetermofthisAgreementandforaperiodof[number]yearsaftertheterminationorexpirationofthisAgreement,InvestorshallnotengageinanybusinessactivitiesthatpetedirectlywithCompany'sbusinesswithintheterritoryof[territory].

C.RightsofCompany

1.UseofInvestment:CompanyshallhavetherighttousetheInvestmentproceedsforthepurposesspecifiedinthisAgreement.

2.BusinessOperations:CompanyshallhavetherighttoconductitsbusinessoperationsinaccordancewithitsArticlesofAssociationandapplicablelaws,subjecttotheapprovalofInvestorforcertainmajordecisionsasprovidedinthisAgreement.

D.ObligationsofCompany

1.ComplianceObligation:Companyshallplywithallapplicablelaws,regulations,andcontractualobligations,andshalloperateitsbusinessinalegal,ethical,andpropermanner.

2.FinancialReportingObligation:CompanyshallprepareandsubmittoInvestoronaregularbasisaccurateandpletefinancialstatementsandbusinessreportsinaccordancewithapplicableaccountingstandardsandtherequirementsofthisAgreement.

3.MaintainRecordsObligation:CompanyshallmaintainaccurateandpletebooksandrecordsofitsbusinessoperationsforinspectionbyInvestor.

4.UseofProceedsObligation:CompanyshallusetheInvestmentproceedsonlyforthepurposesspecifiedinthisAgreementandshallnotdivertsuchproceedsforanyotherunauthorizedpurposes.

IV.ConditionsPrecedent

A.ConditionstoInvestor'sObligationtoMakeInvestment

1.TherepresentationsandwarrantiesofCompanycontainedinthisAgreementshallbetrueandcorrectinallmaterialrespectsasofthedateofthisAgreementandasofthedateofeachpaymentoftheInvestment.

2.Companyshallhaveobtainedallnecessaryapprovals,licenses,andconsentsfromrelevantgovernmentauthoritiesandthirdpartiesfortheexecutionandperformanceofthisAgreementandtheconsummationoftheinvestmenttransaction.

3.Thereshallbenomaterialadversechangeinthefinancialcondition,businessoperations,orlegalstatusofCompanysincethedateofthisAgreement.

4.CompanyshallhaveexecutedanddeliveredtoInvestorallotheragreements,documents,andinstrumentsreasonablyrequestedbyInvestorinconnectionwiththisinvestment.

B.ConditionstoCompany'sObligationtoReceiveInvestment

1.InvestorshallhavemadethefirstinstallmentoftheInvestmentinaccordancewiththepaymenttermsofthisAgreement.

2.InvestorshallhavesatisfiedallconditionsprecedenttoitsobligationtomaketheInvestment.

V.TransferofEquityInterests

A.RestrictionsonTransfer

DuringthetermofthisAgreement,Investorshallnottransfer,assign,pledge,orotherwisedisposeoftheequityinterestsacquiredpursuanttothisAgreementwithoutthepriorwrittenconsentofCompanyandtheothershareholdersofCompany(ifany).

B.RightofFirstRefusal

IntheeventthatInvestorintendstotransferitsequityinterests,CompanyandtheothershareholdersofCompany(ifany)shallhavetherightoffirstrefusaltopurchasesuchequityinterestsonthesametermsandconditionsofferedbytheproposedtransferee.

VI.GovernanceandManagement

A.BoardRepresentation

Investorshallbeentitledtoappoint[number]director(s)totheboardofdirectorsofCompany(the"Board"),subjecttotheapprovalofCompany'sshareholdersinaccordancewithapplicablelawsandtheArticlesofAssociationofCompany.

B.DecisionMakingRights

MajordecisionsofCompany,includingbutnotlimitedtomergers,acquisitions,assetdisposals,capitalincreases,andchangestotheArticlesofAssociation,shallrequiretheapprovaloftheBoardand,whererequiredbylawortheArticlesofAssociation,theapprovalofCompany'sshareholders.Investor'sdirector(s)ontheBoardshallhavetherighttovoteonsuchmattersinaccordancewithInvestor'sinterests.

VII.DividendsandDistributions

A.DividendPolicy

Companyshalladoptadividendpolicythatisfairandreasonable,takingintoaccountitsfinancialcondition,businessdevelopmentneeds,andtheinterestsofallshareholders.DividendsshallbedeclaredandpaidtoshareholdersinaccordancewithapplicablelawsandtheArticlesofAssociationofCompany.

B.PriorityofDistributions

IntheeventofliquidationordissolutionofCompany,afterpayingoffalldebtsandliabilitiesofCompany,theremainingassetsshallbedistributedamongtheshareholdersinproportiontotheirequityinterests.InvestorshallhavetherighttoreceiveitsshareofthedistributionsinaccordancewiththisAgreement.

VIII.TermandTermination

A.Term

ThisAgreementshallbeeffectiveasofthedateofexecutionandshallremaininforceforatermof[number]years(the"Term"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

B.TerminationbyAgreement

ThisAgreementmaybeterminatedbymutualwrittenagreementofbothpartiesatanytime.

C.TerminationforBreach

1.IfeitherpartybreachesanyoftheprovisionsofthisAgreementandfailstocuresuchbreachwithin[number]daysafterreceivingwrittennoticefromtheotherparty,thenonbreachingpartyshallhavetherighttoterminatethisAgreement.

2.IntheeventofamaterialbreachofthisAgreementbyCompany,InvestorshallhavetherighttoterminatethisAgreementandrequireCompanytorefundtheInvestment(plusinterest,ifapplicable)andpensateInvestorforanylossessufferedasaresultofthebreach.

D.EffectofTermination

UponterminationofthisAgreement,therightsandobligationsofthepartieshereundershallterminate,exceptforthoseobligationsthatsurviveterminationbytheirnature,suchastheconfidentialityobligationsandtheobligationtosettleanydisputesarisingoutofthisAgreement.

Ix.Confidentiality

A.ConfidentialInformationDefined

ForthepurposesofthisAgreement,"ConfidentialInformation"shallincludeallinformationdisclosedbyeitherpartytotheotherpartyinconnectionwiththisinvestment,includingbutnotlimitedtobusinessplans,financialinformation,customerlists,technicalknowhow,andanyotherinformationthatisnotpubliclyavailable.

B.ConfidentialityObligation

BothpartiesshallkeepConfidentialInformationconfidentialandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

C.Exceptions

Theconfidentialityobligationsshallnotapplytoinformationthat:

1.Isorbespubliclyavailablethroughnofaultofthereceivingparty;

2.Isreceivedfromathirdpartywithoutanyobligationofconfidentiality;

3.IsindependentlydevelopedbythereceivingpartywithoutreferencetotheConfidentialInformation;or

4.Isrequiredtobedisclosedbylaworbyacourtorotherregulatoryauthority.

x.Indemnification

A.IndemnificationObligation

CompanyshallindemnifyandholdInvestorharmlessfromandagainstanyandalllosses,damages,liabilities,expenses,andcosts(includingreasonablelegalfeesandexpenses)arisingoutoforinconnectionwithanybreachoftherepresentations,warranties,covenants,orobligationsofCompanyunderthisAgreement.

B.NoticeofClaim

Intheeventofanyclaimorpotentialclaimforindemnification,thepartyseekingindemnificationshallpromptlynotifytheotherpartyinwritingoftheclaimorpotentialclaim.

C.DefenseandSettlement

Theindemnifyingpartyshallhavetherighttodefendagainstanyclaimforindemnificationatitsownexpenseandshallhavethesolediscretiontosettleanysuchclaim,providedthatthesettlementdoesnotadmitliabilityorimposeanyobligationontheindemnifiedpartywithoutitspriorwrittenconsent.

xI.DisputeResolution

A.Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.

B.Arbitration

Ifthepartiesareunabletoresolvethedisputethroughnegotiationwithin[number]days,thedisputeshallbesubmittedtoarbitrationinaccordancewiththearbitrationrulesof[arbitrationinstitution].Thearbitrationshallbeconductedin[location],andthelanguageofthearbitrationshallbe[language].Thearbitrationawardshallbefinalandbindingonbothparties.

xII.Miscellaneous

A.EntireAgreement

ThisAgreementconstitute
