III.SubjectMatterorService

1.Description

PartyAagreestoprovidePartyBwith[detaileddescriptionofthesubjectmatterorservice],includingbutnotlimitedto[listspecificaspectsifapplicable].Forexample,ifitisaservicecontractforsoftwaredevelopment,itmayincluderequirementsanalysis,design,coding,testing,andpostdeliverymaintenanceservices.Ifitisacontractforthesaleofgoods,itshoulddescribethespecifications,quantity,qualitystandardsofthegoods.

The[subjectmatterorservice]shallmeetthefollowingstandards:[listrelevantquality,performance,orotherstandards].Forgoods,itcouldbepliancewithindustrystandards,specificproductspecifications;forservices,itmightinvolvemeetingcertainservicelevelagreementssuchasresponsetime,accuracyrate.

IV.RightsandObligations

A.RightsofPartyA

1.PartyAhastherighttoreceivepaymentfromPartyBinaccordancewiththetermsofthisAgreement.

2.PartyAhastherighttorequestPartyBtoprovidenecessaryinformationandcooperationfortheperformanceofthisAgreement,suchasprovidingaccesstorelevantdataorfacilitiesifrequiredforthedeliveryofthesubjectmatterorservice.

B.ObligationsofPartyA

1.PartyAshallperformthe[subjectmatterorservice]inaccordancewiththeagreedupontime,quality,andquantitystandards.PartyAshallusereasonablecareandskillinprovidingtheserviceordeliveringthegoods.Forexample,inasoftwaredevelopmentproject,PartyAshallfollowgoodsoftwareengineeringpracticesanduseappropriatedevelopmenttoolsandtechniques.

2.PartyAshallberesponsibleforanyintellectualpropertyrightsassociatedwiththe[subjectmatterorservice]provided,unlessotherwiseagreed.Thisincludesensuringthatthesoftwaredevelopeddoesnotinfringeontheintellectualpropertyrightsofanythirdparty.

3.PartyAshallprovidePartyBwithregularprogressreportsduringtheperformanceoftheAgreement,ifapplicable.Foralongtermproject,PartyAmayreportonamonthlyorquarterlybasis,detailingtheworkpleted,anyissuesencountered,andtheexpectedschedulefortheremainingwork.

C.RightsofPartyB

1.PartyBhastherighttoreceivethe[subjectmatterorservice]fromPartyAinaccordancewiththetermsofthisAgreement.

2.PartyBhastherighttoinspectandverifythequalityandplianceofthe[subjectmatterorservice]providedbyPartyA.IfPartyBdiscoversanynonpliance,ithastherighttorequestPartyAtotakecorrectiveactions.

D.ObligationsofPartyB

1.PartyBshallpayPartyAtheagreeduponpriceorfeesinatimelymanner.ThepaymenttermsshallbespecifiedinSectionVIofthisAgreement.

2.PartyBshallcooperatewithPartyAduringtheperformanceofthisAgreement.Thismayincludeprovidingaccesstorelevantpersonnel,data,orfacilitiesasrequiredbyPartyAfortheproperexecutionofthe[subjectmatterorservice].

3.PartyBshallnotdiscloseanyconfidentialinformationobtainedfromPartyAduringtheperformanceofthisAgreementtoanythirdpartywithoutthepriorwrittenconsentofPartyA.Confidentialinformationincludestechnicaldetails,businessplans,customerlists,etc.

V.Payment

1.Price

Thetotalpriceforthe[subjectmatterorservice]is[amountincurrency].ThispriceisinclusiveofallcostsrelatedtotheperformanceoftheAgreement,suchaslaborcosts,materialcosts,andanyapplicabletaxes(exceptfortaxesspecificallyrequiredtobepaidbyPartyB).

VI.DeliveryandAcceptance

1.Delivery

PartyAshalldeliverthe[subjectmatterorservice]toPartyBattheagreeduponplace,whichis[deliveryaddress].Ifthe[subjectmatterorservice]isaphysicalgood,PartyAshallberesponsibleforarrangingtransportationandensuringitssafearrivalatthedeliveryaddress.Ifitisaservice,PartyAshallstartprovidingtheservicewithin[numberofdays]daysaftertheAgreementbeseffective.

2.Acceptance

PartyBshallinspectthe[subjectmatterorservice]within[numberofdays]daysafterdelivery.IfPartyBfindsthatthe[subjectmatterorservice]doesnotmeettherequirementsofthisAgreement,itshallnotifyPartyAinwritingwithinthisperiod.PartyAshallthen,within[numberofdays]daysafterreceivingthenotice,takecorrectiveactionsormakenecessaryadjustments.OncePartyBissatisfiedwiththe[subjectmatterorservice],itshallsignanacceptancecertificateindicatingthatthe[subjectmatterorservice]hasbeenaccepted.

VII.IntellectualPropertyRights

1.Ownership

AllintellectualpropertyrightscreatedorusedintheperformanceofthisAgreementshallbeownedbythepartythatcreatedthem,unlessotherwisespecified.Forexample,ifPartyAdevelopsanewsoftwareapplicationunderthisAgreement,thecopyrightofthesoftwareshallbelongtoPartyA.

2.License

PartyBshallhaveanonexclusive,nontransferablelicensetousetheintellectualpropertyrightsassociatedwiththe[subjectmatterorservice]providedbyPartyAsolelyforthepurposeofusingthe[subjectmatterorservice]inaccordancewiththisAgreement.PartyBshallnotsublicense,modify,orcreatederivativeworksbasedontheintellectualpropertyrightswithoutthepriorwrittenconsentofPartyA.

VIII.Confidentiality

1.ConfidentialInformationDefined

ConfidentialinformationincludesanyinformationdisclosedbyeitherpartytotheotherduringtheperformanceofthisAgreement,includingbutnotlimitedtotechnicalinformation,businesssecrets,customerdata,andanyotherinformationmarkedasconfidential.

2.ObligationtoKeepConfidential

Eachpartyshallkeeptheconfidentialinformationoftheotherpartyconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.ThisobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears]years.

3.Exceptions

Thisconfidentialityobligationdoesnotapplytoinformationthatis:

Alreadyinthepublicdomainthroughnofaultofthereceivingparty;

Requiredtobedisclosedbylaw;

Disclosedtoaparty'slegal,financial,orprofessionaladvisorsonaneedtoknowbasis,providedthatsuchadvisorsarealsoboundbyconfidentialityobligations.

Ix.TermandTermination

1.Term

ThisAgreementshallbeeffectiveasofthedateofsigningandshallremaininforceforaperiodof[numberofyears/months].

2.TerminationbyAgreement

PartyAandPartyBmayterminatethisAgreementbymutualwrittenagreementatanytime.

3.TerminationforBreach

IfeitherpartymateriallybreachesthisAgreement,thenonbreachingpartyshallhavetherighttoterminatethisAgreementbygivingwrittennoticetothebreachingparty.Thebreachingpartyshallbeliableforanydamagescausedtothenonbreachingpartyasaresultofthebreach.

4.EffectofTermination

UponterminationofthisAgreement,PartyBshallpayPartyAanyoutstandingamountsdueunderthisAgreement.PartyAandPartyBshallreturntoeachotheranyconfidentialinformationintheirpossessionrelatedtotheotherparty.TherightsandobligationsofthepartiesunderSectionsVII(IntellectualPropertyRights)andVIII(Confidentiality)shallsurvivetheterminationofthisAgreement.

x.Liability

1.LimitedLiability

Innoeventshalleitherpartybeliabletotheotherpartyforanyindirect,special,consequential,orpunitivedamages,includingbutnotlimitedtolossofprofits,lossofbusiness,orlossofdata,evenifsuchpartyhasbeenadvisedofthepossibilityofsuchdamages.

2.LiabilityforBreach

EachpartyshallbeliableforitsownbreachofthisAgreement.IfapartyfailstoperformitsobligationsunderthisAgreement,itshallpensatetheotherpartyforanydirectlossessufferedasaresultofsuchbreach.Forexample,ifPartyAfailstodeliverthe[subjectmatterorservice]ontime,itshallberesponsibleforanyadditionalcostsincurredbyPartyBduetothedelay.

xI.DisputeResolution

1.Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[numberofdays]daysaftereitherpartynotifiestheotherofthedispute.

2.ArbitrationorLitigation

Ifthepartiesareunabletoresolvethedisputethroughnegotiation,thedisputeshallberesolvedasfollows:

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

xIV.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

xV.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshalli
