七臺河合同協議翻譯英文?ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:PartyA:Name:[Company/IndividualNameofPartyA]RegisteredAddress:[RegisteredAddressofPartyA]LegalRepresentative:[NameofLegalRepresentativeofPartyA]PartyB:Name:[Company/IndividualNameofPartyB]RegisteredAddress:[RegisteredAddressofPartyB]LegalRepresentative:[NameofLegalRepresentativeofPartyB]I.SubjectMatterPartyAagreestoprovidePartyBwith[specificservicedescription](hereinafterreferredtoasthe"Service")inaccordancewiththetermsandconditionsofthisAgreement.TheServiceshallincludebutnotbelimitedto[detaileddescriptionofthescopeofservices].II.RightsandObligationsoftheParties(A)RightsandObligationsofPartyA1.PartyAshallhavetherighttoreceivetheagreeduponservicefeesfromPartyBinaccordancewiththepaymenttermsofthisAgreement.2.PartyAshallberesponsibleforprovidingtheServiceinaprofessionalandtimelymanner,inaccordancewiththeindustrystandardsandthespecificrequirementssetforthinthisAgreement.3.PartyAshallensurethatitsemployeesandagentsinvolvedintheperformanceoftheServiceplywithallapplicablelaws,regulations,andethicalstandards.4.PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandalllosses,damages,liabilities,claims,andexpensesarisingoutoforinconnectionwithPartyA'sperformanceoftheService,excepttotheextentcausedbyPartyB'snegligenceorwillfulmisconduct.(B)RightsandObligationsofPartyB1.PartyBshallhavetherighttorequirePartyAtoperformtheServiceinaccordancewiththetermsandconditionsofthisAgreement.2.PartyBshallberesponsibleforprovidingPartyAwithallnecessaryinformationandcooperationrequiredfortheperformanceoftheServiceinatimelymanner.3.PartyBshallpaytheservicefeestoPartyAinaccordancewiththepaymenttermsofthisAgreement.4.PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandalllosses,damages,liabilities,claims,andexpensesarisingoutoforinconnectionwithPartyB'suseoftheService,excepttotheextentcausedbyPartyA'snegligenceorwillfulmisconduct.III.PaymentTerms1.ThetotalservicefeesfortheServiceshallbe[amountinChineseandinArabicnumerals].2.PartyBshallpaytheservicefeestoPartyAinthefollowinginstallments:[Firstinstallmentamount]shallbepaidwithin[numberofdays]daysafterthesigningofthisAgreement.Theremainingamountof[remainingamount]shallbepaidwithin[numberofdays]daysafterthepletionoftheService.3.PartyAshallissueavalidinvoicetoPartyBforeachpaymentreceived.IV.Confidentiality1.Eachpartyacknowledgesthatduringthecourseoftheirbusinessrelationship,theymayhaveaccesstoconfidentialinformationoftheotherparty(the"ConfidentialInformation").ConfidentialInformationshallincludebutnotbelimitedtobusinessplans,financialinformation,customerlists,technicalknowhow,andanyotherinformationmarkedasconfidentialorwhichshouldreasonablybeconsideredconfidential.2.EachpartyshallkeeptheConfidentialInformationoftheotherpartyconfidentialandshallnotdisclose,use,orpermittheuseofsuchConfidentialInformationforanypurposeotherthantheperformanceofthisAgreement.3.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears]years.V.IntellectualPropertyRights1.AnyintellectualpropertyrightscreatedordevelopedinthecourseoftheperformanceoftheServiceshallbeownedbythepartythatcreatedordevelopedthem,unlessotherwiseagreedinwriting.2.Eachpartyshallrespecttheintellectualpropertyrightsoftheotherpartyandshallnotinfringeuponsuchrights.VI.TermandTermination1.ThisAgreementshallbeeffectiveasofthedateofsigningandshallremaininforceforaperiodof[numberofyears]years(the"Term").2.EitherpartymayterminatethisAgreementupon[numberofdays]days'writtennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherparty.3.IntheeventofterminationofthisAgreement,thepartiesshallcooperatetowinduptheirrespectiveobligationsandrightsunderthisAgreementinanorderlymanner.VII.LiabilityforBreach1.IfeitherpartyfailstoperformitsobligationsunderthisAgreement,itshallbeliableforanydamagescausedtotheotherpartyasaresultofsuchbreach.2.TheliabilityofapartyforbreachofthisAgreementshallbelimitedtotheamountofdirectdamagesactuallysufferedbytheotherparty,andshallnotincludeindirect,consequential,special,orpunitivedamages,unlessotherwiseprovidedbylaw.VIII.DisputeResolution1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationbetweentheparties.2.Ifthepartiesareunabletoresolvethedisputesthroughnegotiationwithin[numberofdays]days,eitherpartymaysubmitthedisputesto[nameofarbitrationinstitution]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationawardshallbefinalandbindingonbothparties.3.Intheeventofanydisputes,thepartiesshallcontinuetoperformtheirrespectiveobligationsunderthisAgreementthatarenotindispute,unlessotherwiseorderedbyacourtoflaworanarbitrationtribunal.Ix.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.x.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.xI.AmendmentsandSupplementsAnyamendmentorsupplementtothisAgreementshallbemadeinwritingandsignedbybothparties.xII.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.INWITNESSWHEREOF,theparties
