2025外貿合同中常見的英文條款ContractforInternationalTrade2025ThisContractforInternationalTrade(hereinafterreferredtoasthe"Contract")isenteredintoonthisdayof,2025,byandbetween(the"Seller"),acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat,and(the"Buyer"),acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat.1.GoodsandDescriptionTheSelleragreestosellandtheBuyeragreestopurchasethefollowinggoods(hereinafterreferredtoasthe"Goods"):Description:Quantity:UnitPrice:TotalValue:TheGoodsshallconforminallrespectstothespecifications,quality,anddescriptionsetforthinthecontractoranyotherdocumentsagreeduponbytheparties(hereinafterreferredtoasthe"Specifications").TheSellershalldelivertheGoodsinstrictcompliancewiththetermsofthisContract.2.PriceandPaymentThetotalpricefortheGoodsis(the"TotalPrice"),whichissubjecttoadjustmentbasedonanyapplicablelaws,regulations,oreconomicconditions.TheBuyershallpaytheTotalPriceasfollows:PaymentTerms:Currency:BankDetails:Allpaymentsshallbemadewithoutdeductionordelay,exceptasprovidedhereinorbylaw.TheSellershallissueinvoicesinaccordancewiththepaymenttermsoutlinedherein.3.DeliveryandTransportationTheGoodsshallbedeliveredtotheBuyerat(the"DeliveryPoint")onorbefore(the"DeliveryDate").Themodeoftransportationshallbe,andthecoststhereofshallbeborneby.ShippingMarks:Packages:Insurance:TheSellershallarrangefortheGoodstobeproperlypackedandinsuredasrequired.TheriskoflossordamagetotheGoodsshallpasstotheBuyerupondeliveryattheDeliveryPoint.4.QualityAssuranceTheSellerwarrantsthattheGoodsshallcomplywiththeSpecificationsandshallbefreefromdefectsinmaterialandworkmanshipundernormaluseandconditionsforaperiodof(the"WarrantyPeriod")fromthedateofdelivery.TheSellershallpromptlyrepairorreplaceanydefectiveGoodsatitsownexpenseduringtheWarrantyPeriod.5.IntellectualPropertyRightsAllrights,includingbutnotlimitedtopatents,trademarks,copyrights,anddesigns,relatingtotheGoodsandtheirdesignshallremainwiththeSellerunlessotherwiseagreedinwriting.TheBuyershallnotuse,copy,ordistributeanyproprietaryinformationormaterialsprovidedbytheSellerwithoutpriorwrittenconsent.6.TerminationandDefaultEitherpartymayterminatethisContractimmediatelyuponwrittennoticeiftheotherpartybreachesanyofitsobligationsunderthisContractandfailstocuresuchbreachwithindaysafterreceivingwrittennoticethereof.Intheeventofdefault,thenon-defaultingpartyshallbeentitledtoclaimdamages,includingbutnotlimitedtolostprofits,aswellasanycostsincurredinconnectionwiththeenforcementofthisContract.7.GoverningLawandDisputeResolutionThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof(the"GoverningLaw").AnydisputesarisingoutoforrelatingtothisContractshallberesolvedthroughfriendlynegotiations.Ifsuchnegotiationsfail,thepartiesagreetosubmitthedisputetoarbitrationininaccordancewiththerulesoftheArbitrationAssociation.8.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,governmentactions,andstrikes(hereinafterreferredtoas"ForceMajeure").TheaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceofaForceMajeureeventandmakereasonableeffortstomitigateitseffects.9.MiscellaneousProvisionsEntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,ornegotiations.Amendments:AnyamendmentstothisContractmustbemadeinwritingandsignedbybothparties.Severability:IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.Assignment:NeitherpartyshallassignitsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty.10.SignaturesInwitnessoftheforegoing,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.Seller:Name:Title:Signature:Date:Buyer:Name:Title:Signature:
