2025年度教育培訓居間服務合同英文版本合同共三部分組成，僅供學習使用，第一部分如下：2025ANNUALEDUCATIONANDTRNINGINTERMEDIARYSERVICECONTRACTPARTI:GENERALPROVISIONS1.ContractingPartiesContractor’sName:________________Contractor’sAddress:________________Principal’sName:________________Principal’sAddress:________________2.ScopeofServiceTheContractorshallprovideintermediaryservicesforthePrincipalinthefieldofeducationandtrainingduringtheyear2025.Thespecificscopeofserviceincludes,butisnotlimitedto:AssistingthePrincipalinidentifyingsuitableeducationalinstitutionsandtrainingprograms.Providinginformationandadviceoneducationalandtrainingmatters.Arrangingforvisitstoeducationalinstitutionsortrainingprograms,ifnecessary.3.DurationofServiceThedurationofthiscontractshallbefrom_______________to_______________.4.FeesandPaymentTermsTheContractorshallbeendtoreceiveafeefortheintermediaryservicesprovided.Thefeeshallbe_______________(amountincurrency)andshallbepaidtotheContractorwithin_______________daysfromthedateofinvoice.5.ConfidentialityBothpartiesagreetokeepallinformationreceivedduringthecourseofthiscontractstrictlyconfidential.Thisincludesbutisnotlimitedtoeducationalinstitutions,trainingprograms,andanyotherinformationrelatedtotheservicesprovided.6.LiabilityTheContractorshallnotbeliableforanydirect,indirect,orconsequentialdamagesarisingoutoftheintermediaryservicesprovidedunderthiscontract.ThePrincipalshallbesolelyresponsibleforanydecisionsmadebasedontheinformationprovidedtheContractor.7.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthiscontractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,civilunrest,governmentactions,oranyotherunforeseenevent.PARTII:SPECIFICPROVISIONS8.EducationalInstitutionsandTrainingProgramsTheContractorshallendeavortoprovidethePrincipalwithinformationonavarietyofeducationalinstitutionsandtrainingprogramsthatmeetthePrincipal’srequirements.9.Communication10.TerminationofContractThiscontractmaybeterminatedeitherpartyuponwrittennoticetotheotherparty.Theterminationshallbeeffectivefromthedateofreceiptofthenotice.PARTIII:MISCELLANEOUSPROVISIONS11.GoverningLawThiscontractshallbegovernedandconstruedinaccordancewiththelawsof_______________.12.DisputeResolutionEndofPartI第二部分：第三方介入后的修正1.DefinitionofThirdPartiesForthepurposeofthiscontract,"ThirdParties"shallinclude,butnotbelimitedto,educationalinstitutions,trainingprograms,consultants,advisors,andanyotherentitiesorindividualsinvolvedintheprovisionofeducationandtrainingservicestothePrincipal.ThirdPartiesmaybeengagedeithertheContractororthePrincipalforthepurposeoffacilitatingtheintermediaryservicesprovidedunderthiscontract.2.EngagementofThirdPartiesTheContractormayengageThirdPartiestoassistintheprovisionofintermediaryservicestothePrincipal.ThePrincipalmayalsoengageThirdPartiesindependentlyforthesamepurpose.Ineithercase,thefollowingprovisionsshallapply:TheContractorshallobtainthePrincipal’swrittenconsentbeforeengaginganyThirdParty.ThePrincipalshallobtaintheContractor’swrittenconsentbeforeengaginganyThirdParty.BothpartiesshallensurethatanyThirdPartyengagedisqualifiedandcapableofprovidingthenecessaryservices.3.ResponsibilitiesofThirdPartiesThirdPartiesshallperformtheirdutiesinaccordancewiththetermsofthiscontractandanyadditionalagreementsenteredintowiththeContractororthePrincipal.Thefollowingresponsibilitiesshallapply:ThirdPartiesshallprovideaccurateanduptodateinformationregardingeducationalinstitutionsandtrainingprograms.ThirdPartiesshallactwithduediligenceandingoodfaithintheirdealingswiththePrincipalandtheContractor.ThirdPartiesshallmaintainconfidentialityregardinganyinformationprovidedthePrincipalortheContractor.4.LiabilityofThirdPartiesTheliabilityofThirdPartiesshallbelimitedasfollows:ThirdPartiesshallnotbeliableforanylossordamagearisingfromtheactionsoromissionsoftheContractororthePrincipal.TheliabilityofThirdPartiesshallbelimitedtotheamountoffeespaidtothemtheContractororthePrincipal.5.IndemnificationTheContractorandthePrincipalshallindemnifyandholdharmlesstheThirdPartiesagainstanyclaims,actions,orproceedingsarisingoutoforinconnectionwiththeintermediaryservicesprovidedunderthiscontract,excepttotheextentthatsuchclaims,actions,orproceedingsarisefromthenegligenceorwillfulmisconductoftheThirdParties.6.CommunicationwithThirdParties7.DisputeResolutionwithThirdParties8.AmendmenttoContractTheengagementofThirdPartiesshallnotconstituteamaterialamendmenttothiscontract.However,thepartiesmayagreetomodifythiscontractinwritingtoreflectanychangesinthescopeofservicesprovidedtheThirdParties.9.AdditionalProvisionsTheContractorshallprovidethePrincipalwithalistofallThirdPartiesengagedandtheirrespectiveresponsibilities.ThePrincipalshallprovidetheContractorwithalistofallThirdPartiesengagedandtheirrespectiveresponsibilities.TheContractorandthePrincipalshallensurethatanyThirdPartyengagedhasthenecessarylicenses,permits,andqualificationstoprovidetherequiredservices.EndofPartII第三部分：其他補充性說明和解釋說明一：附件列表：1.ListofEducationalInstitutionsandTrainingProgramsRequire
