九、保密協議Confidentiality

乙方需嚴格保守工作過程中接觸和了解到的公司商業秘密(包括生產技巧、工藝流程、技術秘密、管理方法、產銷策略、貨源情報、設計圖紙、成本價格和客戶資料)，否則將受到行政處罰(如無條件解雇、賠償等);觸犯刑法的，甲方將有權移交司法機關處理。乙方調離甲方，應得到甲方同意，并將所有商業秘密資料移交甲方，同時承擔不向外泄露的義務，并保證半年內不得利用甲方商業秘密在生產同類且與甲方有競爭關系的產品的其他企業內任職。否則，甲方有權要求乙方賠償因此而帶來的一切經濟損失。

1、需方向供方提供產品報價單格式。供方在雙方約定或需方要求的期限內，根據需方所提供的報價單格式填寫相應內容并交需方確認(如無另行約定，供方應自收到需方報價單格式之日起三個工作日內將相應內容交需方進行確認)。經需方書面接受的報價單上之價格為正式生效的產品報價，雙方應全面履行。經雙方確認并生效的幾份或數份報價單之間，以最后生效的報價單所載的內容為當前階段(報價和期間)為生效執行的產品價格(和期間)。對于需方要求提供的成本結構清單，供方需要在報價單的同時按照需方要求格式附帶提供相應文檔。

TheDemandershallprovideapricequotationformformattotheSupplier.TheSuppliershallfillinthepricequotationformandsenditbacktotheDemanderforconfirmationwithinaperiodoftimeagreeduponbybothpartiesorrequestedbytheDemander(unlessotherwiseagreedupon,theSuppliershallfillintheformandsenditbacktotheDemanderwiththree(3)workingdaysafterreceiptofthepricequotationformformatfromtheDemander).ThepriceonthepricequotationsheetacceptedbytheDemanderinwritingrepresentstheformallyvalidatedproductpriceandshallbecompliedwithbybothparties.Thecontentspecifiedinthepricequotationformlastvalidatedrepresentsthecurrentproductpriceandshallbeexecutedbybothpartieswhenanumberofpricequotationformshavebeenconfirmedandvalidatedinbetween.TherelevantdocumentcontainingCostStructuredemandedbytheDemandershallbeprovidedintheformasrequiredbytheDemander.

2、供方對需方的報價必須遵循誠信的原則，供方不得采取向研發/工程部門報以低價，而向采購部門報以高價等不誠信行為;一旦發生類似情況，需方有權終止本合同并保留向供方索賠的權利。

TheSuppliershallprovidethepricequotationtotheDemanderonprincipleofhonesty.UpondiscoveryofsuchdishonestactivitiesastheSupplierquotingalowerpricetoresearchanddevelopmentdepartmentwhilequotingahigherpricetoprocurementdepartment,theDemanderreservetherighttoterminatethiscontractandreserveallrightstoclaimagainsttheSupplier.

3、合同產品經需方檢驗合格入庫后，電匯____天或承兌____天(如應供方要求,需方提前支付貨款,則供方需承擔對應期間的資金利息,雙方約定計息標準為年利率6%)。

AftertheproductsspecifiedincontractareinspectedandcheckedinthewarehousebytheDemander,DemandershouldexecutethepaymentbyT/T(telegraphictransfer)on____daysoracceptancebillon____days(ifadvancepaymentismadebytheDemanderasrequestedbytheSupplier,theinterestincurredfromtheadvancepaymentduringthecorrespondingperiodispayablebytheSupplierattheannualinterestrateof6%asagreeduponbybothparties).

4、在合同有效期內，如果單價高于當時市場價的3%，需方有權在任何時間重新審核確認單價。

Demanderreservestherighttoreviewthepriceatanytimeduringthecontractincasefindthatitisabovethemarketpricebymorethan3%.

四、訂單：PurchaseOrder:

1、需方給供方下達網上訂貨單(若無共享網絡資源的需下達書面訂單)，應在訂貨單中明確交貨日期及每次的交貨數量，并通知供方;供方應遵守訂貨單所載內容交貨，除非雙方事先以書面形式同意變更訂貨單的約定內容外，供方的交貨不得與訂單的約定內容有異。

TheDemandershallspecifythequantityofproductstobedeliveredeachtimeandthedeliverydateontheonlinepurchaseorder(purchaseorderinwritingshallbemadeiftheDemanderhasnoaccesstointernet)andnotifytheSupplier.TheSuppliershalldelivertheproductsasspecifiedonthepurchaseorder.ThedeliveredproductsbytheSuppliershallnotbeinconsistentwiththepurchaseorder,unlesspriorconsentismadebybothpartiesinwriting.

2、供方接到訂貨單后，如是正常訂貨，供方應于接到訂單兩日(需方的工作日)以內，如是緊急訂貨應于接到訂單一日(需方的工作日)以內，以書面傳真回復需方進行確認;如超出期限無供方的回復，即表示供方同意需方訂貨單所載的交貨要求。供應商確認的交貨周期不得超過本協議附件中規定的各項時間期限。

TheSuppliershallreplytotheDemanderinwritingbywayofFaxforconfirmationwithintwo(2)workingdays(demander’sworkingday)afterreceiptofthenormalpurchaseorderorwithinone(1)workingdays(demander’sworkingday)afterreceiptoftheemergencypurchaseorder.IfnoreplyismadebytheSupplierwithinsuchforegoingperiod,theSupplierisdeemedtohaveagreedtheproductdeliveryrequirementspecifiedonthepurchaseorder.Thedeliverytimewhichthesupplyconfirmedcan’texceedthetimeontheattachedfilesagreedbybothparties.

3、由于市場變化或其他不可預測因素導致需方對產品需求發生變化時，需方可變更或中止相關生效訂單，需方應盡快通知供方，具體相關事宜由雙方另行協商確定，并形成書面文件。

TheDemandermaychangeorterminatetherelevanteffectivepurchaseorderincasethatthedemandoftheproductsischangedduetothechangeofthemarketorotherunpredictablefactors.TheDemandershallnotifytheSupplierofsuchchangeorterminationoftherelevanteffectivepurchaseorderinatimelymanner.Detailsarrangementshallbeagreeduponbybothpartiesanddevelopedintoawrittendocument.

五、交貨和包裝：DeliveryandPackaging:

1、交貨：Delivery:

除非雙方另有約定，本合同的交貨是指由供方或供方委托的人員或機構將產品交到需方倉庫，與需方倉庫責任人辦理交貨手續，并同時提供有關產品的單證和資料，并承擔相應費用(包括但不限于運輸、保險及卸貨的費用)。

Unlessotherwiseagreeduponbybothparties,deliveryunderthiscontractmeansthattheSupplier,orthepersonnelorinstitutionauthorizedbytheSupplierdeliverandturnovertheproductstotheresponsiblepersonoftheDemander’swarehouse,withprovisionofrelevantcertificateandinformationoftheproductsconcerned,andbeartherelevantcost(includingbutnotrestrictedtotransport,insuranceandunloadingcost).

供方必須滿足經(雙方)確認的生效訂單中交貨期的要求，按時交貨。當需方要求提前交貨時，應通知供方，供方應采取適當的措施，努力滿足交貨要求;若確實無法滿足，應于收到需方通知之日起一個工作日內，以書面形式向需方告知最早的交貨時間和數量。

TheSuppliershalldelivertheproductsontimeasspecifiedontheeffectivepurchaseorderconfirmedbythebothparties.IftheDemanderneedsanadvancedelivery,theDemandershallnotifytheSupplierwhoshallendeavortosatisfysuchrequestbytakingappropriateactions,orshallnotifytheDemanderinwritingoftheearliestpossibledeliverytimeandquantitywithinone(1)workingdayafterreceiptofthenoticefromtheDemander.

除非需方要求或同意，供方的交貨時間不得提前，否則視為不按時交貨，需方有權拒收。

TheSuppliershallnotdelivertheproductsaheadoftheschedule,unlessdemandedorconsentedbytheDemander.DeliveringtheproductsaheadofthescheduleisdeemedtobeSupplier’sfailuretomakethedeliveryontime,andtheDemanderreservetherighttorefusetoacceptsuchproduct.

因供方原因遲延交貨，導致需方不能向第三人緊急出貨時，需方有權向其它方采購，并且由此產生的費用由供方承擔;且如因此導致需方遭受損失時，供方需賠償其損失;若因不可抗力的天然災害所導致的交貨延遲，則供方不須賠償或負擔其費用。

TheDemanderreservetherighttoprocuretheproductsfromothersourcesunderthecircumstancethattheDemanderfailstomaketheemergencydeliveryoftheproductstothethirdpartyduetothedelayeddeliveryoftheproductsfromtheSupplierwhoisresponsibleforanycostincurredfromtheprocurementfromothersources.TheSuppliershallcompensatetheDemanderforanylossincurredfromthedelayeddeliveryoftheproductswhichisduetoanycausesotherthanforcemajeureincludingnaturaldisaster.

如應需方的要求必須更改訂單所記載的訂單內容，應由雙方協商后，形成書面文件。

AnychangestothecontentofthepurchaseorderasrequestedbytheDemandershallbeagreeduponbybothpartiesanddevelopedintoawrittendocument.

2、包裝：Packaging:

除非另有規定，包裝物應由供方提供并自負費用，包裝物上的裝運標志必須符合需方要求。
