建筑安裝工程總承包合同（中英文對照）總目錄TABLEOFCONTENTS第一條工程概況Article1ProjectOverview第二條工程期限Article2Termoftheproject第三條工程合同總價Article3Totalcontractprice第四條材料、設備供應Article4Supplyofmaterialsandequipment第五條工程質(zhì)量和檢查驗收Article5Projectqualityandinspectionandacceptance第六條施工設計變更Article6Amendmentofconstructiondesign第七條各方的義務Article7TheObligationsoftheParties第八條工程價款的結(jié)算與支付Article8Settlementandpaymentoftheprojectprice第九條違約責任與獎勵Article9LiabilityforbreachandAward第十條爭議解決Article10Disputesettlement第十一條其他約定Article11Miscellaneous部分章節(jié)示例如下：第五條工程質(zhì)量和檢查驗收Article5Projectqualityandinspectionandacceptance１．承包方必須嚴格按施工圖紙、說明文件和有關規(guī)范、規(guī)程進行施工，并接受發(fā)包方現(xiàn)場監(jiān)理工程師或工程師代表的監(jiān)督檢查。1.TheContractorshouldcarryouttheconstructioninstrictaccordancewiththeconstructiondrawings,instructiondocuments,relevantspecificationsandregulations,inadditiontoacceptthesupervisionandinspectionoftheContractor'son-sitesupervisingengineerorengineer'srepresentative.２．發(fā)包方聘用的現(xiàn)場監(jiān)理工程師或工程師代表，必須以書面通知承包方其姓名、身份和授權(quán)履行的職責。2.TheContractorshallbenotifiedinwritingofthename,identityandauthorizationtoperformthedutiesofthesitesupervisingengineerorengineer'srepresentativeemployedbytheEmployer.３．承包方應當以書面形式將其指定的施工現(xiàn)場負責人及技術(shù)負責人、專門技術(shù)人員及管理人員的姓名、身份和履行的職責通知監(jiān)理工程師或工程師代表。3.TheContractorshallnotifythesupervisingengineerortheEngineer'srepresentativeinwritingofthename,identityanddutiesofitsspecifiedconstructionsiteresponsibleperson,technicalprincipals,specialtechnicalpersonnelandmanagementpersonnel.４．承包方應按工程進度，及時提供關于工程質(zhì)量的技術(shù)資料，如材料、設備合格證、試驗、試壓、測試報告等的影印件。替代材料必須經(jīng)過設計單位和發(fā)包方同意后，方可使用。4.TheContractorshall,inaccordancewiththeprogressoftheworks,provideintimethetechnicalinformationontheWork’squality,suchasphotocopiesofthecertificatesofmaterials/equipment,reportsoftests,pressuretest,measurement.ThesubstitutematerialsshallbeusedonlywiththeconsentofthedesignunitandtheEmployer.５．承包方對完工的隱蔽工程做自檢，填寫《隱蔽工程驗收單》并通知現(xiàn)場監(jiān)理工程師或工程師代表檢查驗收；監(jiān)理工程師接到通知后小時內(nèi)應到現(xiàn)場檢驗，認可簽證后，方可進行下一工序施工。如果監(jiān)理工程師未在約定的時間內(nèi)檢查驗收，承包方經(jīng)質(zhì)量檢驗機構(gòu)檢驗確認合格后，即可繼續(xù)施工，發(fā)包方應予承認檢驗結(jié)論并辦理檢驗合格手續(xù)。5.TheContractorshalldoself-inspectionofthecompletedconcealedworks,fillintheConcealedWorksAcceptanceSheetandnotifythesitesupervisingengineerorengineer'srepresentativeforinspectionandacceptance;thesupervisingengineershallmakethesiteinspectionwithinhoursuponreceiptofthenotificationandeffectitssigningapprovalthereonbeforetheconstructionofthenextprocess.ProvidedthattheSupervisingEngineerfails,withintheagreedtime,tocheckandaccepttheinspection,theContractorcancontinuetheconstructiononlypassingtheinspectionbythequalityinspectionagency,andtheEmployershallconfirmtheinspectionconclusionandgothroughtheinspectionconformityprocedures.６．電氣照明、通風、水暖、衛(wèi)生工程和機電安裝工程竣工后，必須按照（１）；（２）；（３）等有關規(guī)定進行技術(shù)檢驗。屬于單體試車，由承包方負責進行。無論由誰負責試車，雙方均應相互配合，共同進行。6.Thecompletedelectricallighting,ventilation,plumbing,sanitaryworksandelectromechanicalinstallationworksshallbeconductedthetechnicalinspectioninaccordancewith(1);(2);(3)andotherrelevantprovisions.TheContractorshallberesponsibleforconductingthetestrunforthesingleunit.Regardlessofwhichpartyisresponsibleforthecommissioning,bothpartiesshallcooperatewitheachotherandcarryouttheworktogether.試車中需要的動力、燃料、油料、材料、儀器、專用工具、技術(shù)勞務費用等，由發(fā)包方提供。其費用包括在定額內(nèi)的，由承包方負擔；定額中未包括的，由發(fā)包方負擔。Thepower,fuel,oil,materials,instruments,specialtoolsandtechnicallabourcostsrequiredinthetestrunshallbeprovidedbytheContractor.Wheretheircostsareincludedinthefixedcosts,theyshallbebornebytheContractor;wheretheyarenotincludedinthefixedcosts,theyshallbebornebytheContractor.７．設備安裝工程，由承包方會同發(fā)包方將已完工程（設備基礎）向安裝單位辦理中間交工手續(xù)，并作為竣工驗收的依據(jù)。7.FortheWorksofequipmentinstallation,theContractor,togetherwiththeEmployer,willgothroughtheproceduresofintermediatehandoverofthecompletedworks(equipmentfoundation)withtheinstallationunit.８．工程竣工驗收，應以施工圖紙、圖說、技術(shù)交底紀要、設計更改通知、國家頒布的施工驗收規(guī)范和質(zhì)量檢驗標準為依據(jù)。8.Theacceptanceofthecompletedworksshallbeconductedbasedontheconstructiondrawings,interpretationofdrawings,technicaldeliverysummaries,designchangenotices,theState’sconstructionacceptancespecificationsandqualityinspectionstandards.９．工程竣工后，承包方應當按規(guī)定編制并提交完整的技術(shù)檔案資料，并向發(fā)包方提交竣工通知書，由雙方協(xié)商確定驗收時間，并由發(fā)包方組織相關機構(gòu)進行竣工驗收。驗收合格后，雙方簽署交工驗收證書，并將工程移交給發(fā)包方管理，如發(fā)包方拖延接收，其保管費用和造成的損失由發(fā)包方承擔。交工驗收中如發(fā)現(xiàn)有不符質(zhì)量要求，需要返工的工程，應查明原因。屬施工原因造成的，按雙方驗收時商定的時間，由承包方負責修好再進行檢驗。竣工日期以最后檢驗合格的日期為準。9.TheContractorshall,uponcompletionoftheworks,effectpreparationandsubmissionofthecompletetechnicalarchivedataasrequired,andsendtheNoticeofCompletiontotheEmployer,andthetimeforacceptanceshallbedeterminedandagreedbytheparties’mutualagreement,andtheEmployershallorganizerelevantagenciesforcompletioninspection.Thepartiesheretoshall,uponacceptanceoftheWorks,executetheCertificateofHandover/AcceptanceandhandovertheWorkstotheEmployerformanagement.WheretheEmployerdelaystheacceptancethereof,themanagementexpensesandthelossestherefromshallbefortheEmployer’saccount.ProvidedthattheWorksarefoundfailtomeetthequalityrequirementsinthehandoverandacceptance,theresponsibilitythereofshallbedistinguishedthereasons.Ifitisduetothereasonofconstruction,thecontractorshallberesponsibleforrepairingandre-inspectingtheworkwithinthetimeagreedbythepartiesatthetimeofacceptance.Thedateofcompletionshallberunfromthedateoffinalinspection.１０．已竣工未驗收工程，在交工前由承包方負責保管，發(fā)包方不得動用，若發(fā)包方已經(jīng)使用，即視同交驗。如果由于承包方原因，應交工驗收而不交不驗的工程，除按拖延工期條款處理外，并賠償因此而造成的經(jīng)濟損失。10.ThecompletedandunacceptedWorksshallbekeptbytheContractorpriortohandingoverandshallnotbeusedbytheEmployer;iftheEmployerhasusedthesamewhichshallbedeemedtohavebeenhandedover.If,theWorkswhichshallbehandedoverforacceptanceinspectionwithoutdosoforreasonsattributabletotheContractor,thecompensationshallbemadeforanyeconomiclossincurredasaresultinadditiontobeingdealtwithunderthetermsofthedelay.１１．工程交工驗收后，土建工程保修期為１年，采暖工程為一個采暖期，水電保修期為半年。保修證書在交工驗收后由承包方填寫交給發(fā)包方。由施工造成的工程質(zhì)量瑕疵，發(fā)包方應書面通知承包方并約定時間進行修理。在保修期內(nèi)如果承包方拒不修理時，發(fā)包方可動用預留保修款請人修理，超支部分應由承包方負擔。11.Thewarrantyperiodisoneyearforcivilworks,oneheatingperiodforheatingworksandsixmonthsforplumbingandelectricitysubsequenttohandoverandacceptanceoftheWorks.ThewarrantycertificatewillbecompletedbytheContractorandsubmittotheEmployerfollowingthehandoverandacceptance.TheEmployershallnotifytheContractorinwritingofanydefectsinthequalityoftheWorksduetothereasonsoftheconstructionandagreethetimeforrepairthereof.WheretheContractorrefusestorepairthedefectduringthewarrantyperiod,theEmployermayusethereservedwarrantymoneytohiresomeonetorepairthedefectandtheexcessshallbebornebytheContractor.第六條施工設計變更Article6Amendmentofconstructiondesign１．發(fā)包方交付的設計圖紙、說明和有關技術(shù)資料，均為施工的有效依據(jù)，發(fā)包方、承包方均不得擅自修改。1.Thedesigndrawings,instructionsandrelevanttechnicaldatawhichdeliveredbytheEmployershallbethevalidbasisforconstructionandshallnotbemodifiedbytheEmployerortheContractor.２．施工圖的重大修改變更，必須經(jīng)原批準、設計單位同意，并于修改前天辦理設計修改議定單。設計修改議定單經(jīng)發(fā)包方簽證后，承包方才予實施。議定單和修改圖紙發(fā)出份數(shù)與施工圖份數(shù)相同，并作為合同的補充文件。2.Majorchangesoramendmentstotheconstructiondrawingsshouldbeapprovedbytheoriginalapprovalanddesignunits,andthedesignamendmentagreementmustbeprocesseddayspriortotheamendment.TheContractorshallonlyimplementthedesignamendmentsuponEmployer’ssigningconfirmationofthedesignamendmentagreementwhich,withthereviseddrawings,shallbeissuedinthesamenumberofcopiesastheconstructiondrawingsandshallbetakenassupplementarydocumenttothecontract.３．如果修改圖紙是因為設計錯誤、設備變更、建筑面積（容積）增加、結(jié)構(gòu)改變、標準過高、工藝變化、地質(zhì)條件與設計不符實際，其增加的費用（包括返工損失、停工、窩工、人員和機械設備調(diào)遷，材料、構(gòu)配件積壓的實際損失）由責任方承擔責任并調(diào)整合同造價。3.Providedthattherevisionofdrawingsareduetodesignerrors,equipmentchanges,increaseincoveredarea(volume),structuralchanges,excessivestandards,processchanges,geologicalconditionsanddesigndiscrepancies,theincreasedcosts(includinglossofrework,stoppageofwork,workinprogress,transferofpersonnel/machineryandactuallossofmaterial/componentbacklog)shallbetheresponsibilityoftheresponsiblepartyandthecontractcostshallbeadjusted.４．承包方在保證工程質(zhì)量和不降低設計標準的前提下，提出修改設計的合理化建議，經(jīng)發(fā)包方、設計單位或有關技術(shù)部門同意后實施，其節(jié)約的價值按雙方約定分配。4.TherationalizationproposalswhichsubmittedbytheContractortomodifythedesignontheconditionsprecedentofensuringthequalityoftheWorksandwithoutloweringofthedesignstandardmaybeimplementedwiththeconsentoftheContractor,thedesignunitortherelevanttechnicaldepartment,andthevalueofthesav
