4、XXXXXX公司是一家依照中華人民共和國法律成立的公司(統(tǒng)一社會信用代碼:XXXXXXXXX,辦公地址位于XXXXXXXXXXXX。Hereinafter referred to as the “COMPANY”,以下簡稱“本公司”,On the one Hand,作為合同本公司,AND和XXX, Passport Number or ID Number: XXXXXX,護照號碼或身份證號碼:XXXGender:性別:Date of Birth:出生日期:Hereinafter referred to as the “EMPLOYEE”,以下簡稱“該員工”,On the other Hand,
5、作為合同乙方,Hereinafter collectively referred to as the “PARTIES”.本公司、乙方以下統(tǒng)稱“合同雙方”。In accordance with the Labour Law, the Provisions on the Labour Administration Regulations and other relevant laws and regulations of the Peoples Republic of China, the PARTIES have concluded the following labour contract
6、(hereinafter referred to as the “CONTRACT”合同雙方依照中華人民共和國勞動法以及中華人民共和國其它相關(guān)法律法規(guī),共同約定以下勞動合同(以下簡稱“本合同”。 該員工將擔(dān)任以下職務(wù):XXXXXXXXnot limited to:該員工的工作職責(zé)為XXXXXXX,包括但不限于:a.XXXX;XXXX; 動轉(zhuǎn)為本公司正式員工,執(zhí)行本合同規(guī)定的條款。 3.1The duration of this CONTRACT is XX years which is fromXXXXXX(day/month/year toXXXXXX(day/month/year.本合同期
7、限為XX年,從XX年X月XX日至XX年X月XX日。3.2If the date Employee starts to work is inconsistent with the agreed date, theactual date of arrival is the date when the labor relations establish.若該員工開始工作時間與約定時間不一致,以實際到崗之日為合同起始時間建立勞動關(guān)系。3.3This CONTRACT maybe extended upon agreement of both PARTIES. Anextension to this C
8、ONTRACT shall come into force only after a written agreement has been signed by both PARTIES.本合同經(jīng)合同雙方同意后可以續(xù)簽。只有在合同雙方簽署書面協(xié)議后,續(xù)簽的合同方能生效。 5.1The EMPLOYEE shall pay individual income tax in accordance with the relevant lawsand regulations of the Peoples Republic of China. The COMPANY shall withhold such
9、 amount and pay it to the competent tax bureau.該員工須按照中華人民共和國相關(guān)法律法規(guī)繳納個人所得稅。本公司將為該員工代扣代徼個人所得稅,并將應(yīng)納稅款上交相應(yīng)稅務(wù)機關(guān)。 6.1The COMPANY will establish an EMPLOYEE training system and provide necessarytraining to the EMPLOYEE in accordance with the relevant laws and regulations of the Peoples Republic of China an
10、d as the COMPANY need, including but not limited to ideology and politics, professional ethics, business technology, HSE and relevant rules and regulations. the superior or in accordance with the procedures to the superior approval, otherwise it is not considered as working overtime.該員工加班不能自行決定,須經(jīng)上級
11、安排或者按照程序報上級批準(zhǔn),否則不視為加班。7.4Notwithstanding what provided hereof the COMPANY shall extend the workinghours regardless of Article 7.1 and Article 7.3 in any of the following cases:a.Immediate action which must be carried out in case of natural disasters,accidents or other events that will endanger the E
12、MPLOYEEs life, health,property, or safety;由于發(fā)生自然災(zāi)害、事故或其它危及該員工生命、健康、財產(chǎn)及安全的事件,必須采取緊急措施;b.Urgent repair which must be carried out in case of breaking down of operationequipment, communication, transportation and other facilities which willendanger COMPANY business or public interest; 9.1The EMPLOYEE wi
13、ll be entitled to sickness and injury leaves in accordance withthe relevant laws and regulations.該員工有權(quán)根據(jù)相關(guān)法律法規(guī)享受病假及傷假。9.2The EMPLOYEE applying for sickness or injury leave shall fill in a leave applicationform and get approval from his/her manager. Leave for more than two (2 daysshall be approved by
14、 the Chief Executive Officer of the COMPANY and submitted to the Office Manager, Human Resources Manager or their Manager for verification and filing before going for leave.申請病假或傷假時,該員工應(yīng)填寫“休假申請表”,并必須得到其上級主管的準(zhǔn)許。若該員工的休假超過兩(2天,則需經(jīng)本公司首席執(zhí)行官允許,且應(yīng)在休假前將“休假申請表”提交至行政經(jīng)理、人力資源部經(jīng)理或直屬上級經(jīng)理以供審核及存檔。In case of any sud
15、den sickness or injury the EMPLOYEE shall inform his/her manager no later than the end of the first day. A written confirmation shall be regulations.本公司將依照有關(guān)法律法規(guī)為該員工提供勞動安全衛(wèi)生條件以及必要的設(shè)備。10.3The EMPLOYEE shall have the right to refuse to carry out any dangerous operationforced upon him/her by management
16、 personnel in violation of the relevant regulations.若該員工的上級主管違反相關(guān)法律法規(guī),要求其從事危險性工作,該員工有權(quán)拒絕。 11.1The EMPLOYEE enjoys statutory holidays for official public holidays, wedding, andfunerals in line with the relevant laws and regulations of the Peoples Republic of China.該員工依照中華人民共和國有關(guān)法律法規(guī)享受法定休假,包括法定節(jié)假日、婚假、
17、喪假、產(chǎn)假。11.2The EMPLOYEE is entitled yearly (for a full year worked to a paid annual vacation 可能傷及本公司利益的有償或無償活動。若由于其它原因而非本合同第12條和第13條解除本合同的,不適用本合同第12.3條。12.4The EMPLOYEE shall pay the COMPANY an amount of 500,000 RMB (Five hundredthousand RMB as a penalty clause if he does not comply with Article 12.1
18、., Article12.2., and Article 12.3. hereto. This amount does not include the possible actualdamages which may be claimed by the COMPANY.金額。 13.1The EMPLOYEE shall keep strictly secret and confidential and not to disclose toany third PARTY any and all technical, economic, financial, client or marketin
19、g information acquired from the COMPANY and or obtained because of his/her activities in the COMPANY.該員工須嚴(yán)守公司機密,不得向任何第三方透露自本公司處獲得的及/或由于該員工在本公司任職而獲得的任何技術(shù)、經(jīng)濟、財務(wù)、客戶或市場信息。The EMPLOYEE shall not use any such information for any purpose whatsoever except within and for the tasks, duties, and responsibilit
20、ies provided in this CONTRACT.該員工亦不得將上述信息用于本合同規(guī)定之工作職責(zé)以外的一切活動。13.2The EMPLOYEE agrees that any disclosure or non authorised use of suchinformation shall be considered as a serious misconduct except in the case whereby the EMPLOYEE has received a prior written permission from the COMPANY management.該員
21、工認同,除非該員工已事先收到本公司管理部門發(fā)出的書面許可,否則,泄露上述信息或在未被授權(quán)的情況下使用上述信息將被視為嚴(yán)重過失行為。13.3The EMPLOYEE shall comply with his/her confidentiality obligations pursuant tothis Article 15 for the whole term of this CONTRACT and duration of five (5 years after the termination of the CONTRACT.該員工在本公司任職期間以及在本合同解除后五(5年內(nèi)應(yīng)當(dāng)按照本合同第
22、15條的規(guī)定遵守保密協(xié)議。13.4The EMPLOYEE shall pay the COMPANY an amount of 500,000 RMB (Five hundredthousand RMB as a penalty if he/she does not comply with his/her confidentiality obligations pursuant to this Article 15. This amount does not include the possible actual damages which may be claimed by the COM
23、PANY.若該員工違反本合同第15條的規(guī)定,沒有盡到其應(yīng)盡的保密義務(wù),則該員工必須向本公司支付50萬(伍拾萬元整 人民幣作為賠償。該筆賠償不包括本公司對可能造成的實際損害進行索賠的金額。 14.1Either of the PARTIES shall perform its responsibilities under this CONTRACTstrictly in accordance with the provision hereof.合同任何一方都應(yīng)按照本合同所規(guī)定的條款嚴(yán)格履行各自職責(zé)。14.2Either of the PARTIES should bear responsibil
24、ities for compensation if it violatesthis CONTRACT, infringes upon the interests of the other PARTY and causes damages to the other PARTY.若合同任何一方違反本合同以及損害本合同另一方的利益并給本合同另一方造成損害,該方承擔(dān)損害賠償責(zé)任。 15.1Either of the PARTIES shall be entitled to terminate this CONTRACT for reasonsexpressly provided by the rele
25、vant laws and regulations of the Peoples Republic of China. Such termination of this CONTRACT shall comply with the proceedings provided by the relevant laws and regulations.合同任何一方均有權(quán)依照中華人民共和國相關(guān)法律法規(guī)終止履行本合同。本合同的終止須遵照有關(guān)法律法規(guī)操作進行。15.2Furthermore the COMPANY may terminate the CONTRACT for any one of thef
26、ollowing reasons:此外,在下列情況下,本公司可隨時解除本合同:a.During the course of the employment with the COMPANY the EMPLOYEE isemployed in any other company without the written consent of the COMPANY.該員工在本公司任職期間,未得到本公司的書面準(zhǔn)許卻受聘于其它公司。b.The EMPLOYEE has a conflict between personal interest and the interest of theCOMPANY
27、 in dealing with supplier, customers, and individuals of otherorganisations doing or seeking to do business with the COMPANY.該員工在與本公司的供貨商、客戶及其它機構(gòu)的人員開展業(yè)務(wù)或收集業(yè)務(wù)信息期間發(fā)生其個人與本公司利益上的沖突。c.The EMPLOYEE has asked for or received any advantage or benefits either inmonetary or non monetary term of any kind form
28、persons or organisationshaving business activities directly or indirectly with the COMPANY.該員工向與本公司有直接或間接業(yè)務(wù)往來的任何個人或機構(gòu)索取或收受任何貨幣或非貨幣形式的財物或好處。d.The EMPLOYEE fails to perform his/her responsibilities under Articles 12 andArticle 13 of this CONTRACT.該員工違反本合同第12條和第13條的規(guī)定。e.The EMPLOYEE left from his/her w
29、ork for more than five (5 working dayswithout prior consent from the Chief Executive Officer except in the case offorce majeure which prevent the EMPLOYEE from informing the Chief ExecutiveOfficer.該員工事先未經(jīng)首席執(zhí)行官準(zhǔn)許擅自離崗超過五個工作日,若因不可抗力導(dǎo)致該員工無法通知首席執(zhí)行官除外。15.3The EMPLOYEE shall upon prior thirty (30 days writ
30、ten notice send to the ChiefExecutive Officer of the COMPANY hand over his resignation for personal reasons.The EMPLOYEE shall pay to the COMPANY 500,000 RMB as the compensation.若由于其個人原因,該員工應(yīng)提前三十天以書面形式向本公司首席執(zhí)行官提出辭職。該員工將向公司支付50萬(伍拾萬元整 人民幣作為補償金。15.4The COMPANY shall pay to the EMPLOYEE any compensatio
31、n pursuant to relevantlaws and regulations of the Peoples Republic of China in case of termination of this CONTRACT unless otherwise provided by the laws or resulting from the 17.1The formation, validity, and performance of this CONTRACT and disputes thereonshall be governed by the laws of the Peopl
32、e's Republic of China.本合同的格式、有效期、履行、以及對本合同的爭議應(yīng)遵照中華人民共和國法律法規(guī)執(zhí)行。 18.1Any disputes arising from the performance of or in connection with thisCONTRACT shall be settled through friendly consultations between the PARTIES.任何因履行本合同或由本合同相關(guān)事宜引發(fā)的爭議,應(yīng)由合同雙方友好協(xié)商解決。18.2In case no settlement can be reached through consultations the PARTIES canapply for mediation to the labour dispute conciliation committee established by the COMPANY, if any.若無法協(xié)商解決,合同雙方可根據(jù)需要向本公司組建的勞動爭議管理委員會申請調(diào)解。18.3If mediation can not be reached the PARTIES may
