20、sns and an interpreter t party bs factry fr training fr 160wrking days/man (5 days per week). the training shall cver the designing， themanufacturing technlgy，erectin and adjustment f the cntracted prducts.5.2.5 party a shall bear the travelling epenses f its trainees; party b shallprvide party as t

21、rainees free f charge with barding， ldging and means fcnveyance fr travel- ling between the ldging place and the factry.article 6 technical dcuments6.1 party b shall， accrding t the delivery schedule and details stpulated inappendi 2t the cntract， deliver the dcuments at.6.2 the date stamped by the

24、 supply party a free f charge with a secnd lt fdcuments within thechrtest pssible time but nt later than thirty days after it hasreceived frm party a the writtenntice. within sity days after party a has receivedthe dcuments frm party b，if party a des nt declare the shrtage and request tcver the same

27、ting certificate fr theprper perfrmance f the cntracted prduct in quadruplicate，2cpies fr each party.7.2 if the verificatin test demnstrates that the perfrmance f the cntractedprd-uct isnt in cnfrmity with prescribed technical specificatins， bth partiesshall， thrughamicable negtiatins，make a jint st

28、udy f and analyse the cause andtake measures t e-liminate the defects and carry ut asecnd test. when the secnd testdemnstuates tha the perfrmance is qualified， bth parties shall sign a testingcertificate fr the prper perft- mance7.3 if party b is respnsible fr the failure f the first test， party b s

29、hall sendat ist wn epense technical ersnnel fr the secnd test.7.4 if the secnd test fails again and the failure is attributed t party b， party bshallindemnify party a fr any lsses sustained and shall take effective measures teliminate thedefects and carry ut a third test.7.5 if the third test again

30、fails， and if party b is respnsible fr the failure，party a has the right t terminate the cntract at its discretin and ldge claims as stipulated ih article9.if the respnsibility fr the failure lies with party a， the twparties shall negtiate as thw t further implement the cntract.article 8 technical i

31、mprvements8.1 if the technical dcuments prvided by party b are nt applicable t party asactualprductin cndidins (such as design standards， raw materials， purchased partsfr the ma-chine， prductin facilitie)， party b is bliged t assist party a inmdifying the technicaldcuments and cnfirm the same. upn t

32、he cnditin that theprperties f the cntracted prducts are nt affected， raw materials， fittings andequipmint f chinese rigin may be used.8.2 during the currency f the cntract. if eithet f the tw parties effets imprve-ments n r develpments f the prducts within the cpe stipulated in the cntract，thd said

34、nt rtransfer the same t any third arty.article 9 guarantees and claims9.1 party b guarantees that the technical dcuments t be supplied by party b are thelatest technical infrmatin which has been put int practical use by party b. party bals undertakest supply t party a in time the technical infrmatin

35、 relevant t any develp-ment f r imprvement n the cntracted prduct.9.2 party b guarantees that the technical dcuments t be supplied by part-plete，crrect，legible and are t be despatched in time.9.3 if the dcuments suppied by party b are nt in cnfrmity with the stipulatinin article 6， party b shall， wi

36、thin the shrtet pssible time but nt later than 3days after re-ceipt f party as written ntice， despatch free f charge t party athe missing r the cr- rcet and legible technical scuments.9.4 if party b fails t despatch the said dcuments within the stipulated perid asper appendi 2 party b shall pay pena

37、lty t party a in the fllwing prprtins:(a).percent ntract price fr delay frm 1 t 4 weeks.(b).percent ntract price fr delay frm 5 t 8 weeks.(c).percent ntract price fr delay eceeding weeks;9.5 the payment f penalties by party b t party a as stipulated in article 9 shllnt releve party b f its bligatin

38、t deliver the said dcuments.9.6 whenever the delay in delivering the said dcuments eceeds 6 mnths， party ashall be entitled t terminate the cntract at its discretin and party b shall bebliged t re- fund party a all its payments tgether with the crrespnding ingerestat the rate f. per-cent per annum.9

39、.7 if the verificatin tests fail with the respnsibility lying with party b and if，as theresult，party a cannt start nrmal prductin with the cntract having t beterminated， party b shall erfund all the payments previusly made by party a t party btgether with the interest at the rate f. percent per annu
