PUBLISHER agrees to hold DISTRIBUTOR free and harmless of all claims resulting from any breach of there warranties.7.3Notwithstanding the provisions of Clause 2.1 above, DISTRIBUTOR agrees that the GUIDE has been edited for publication in the Territory following advice of the DISTRIBUTOR and that the DISTRIBUTOR shall be solely responsible for any financial consequences if the sale of the GUIDE in the Territory is prevented or in any way limited by the action of Government authorities in the Territory.8.0TERM AND TERMINATION8.1This agreement is valid for one year from the date of signature and thereafter be renewed for a further term of one year by mutual agreement of the two parties.8.2In the event of termination or expiry of this agreement in 8.1 above, DISTRIBUTOR can continue to sell the stock in DISTRIBUTORs possession at the time of termination or expiry. PUBLISHER has the right to sell the GUIDE to other parties upon termination or expiry of this agreement. 8.3This Agreement may be terminated immediately by the party not in default upon occurrence of the following event (“event of Default”)In the event either party becomes subject to any bankruptcy, insolvency or similar proceedings, the other party shall be entitled to terminate this Agreement upon giving notice in writing to the party which becomes subject to such proceedings. Termination shall take place on receipt of written notice.9.0CONDITION OF SALE9.2 All copies of the GUIDE and PRODUCTS shall remain the property of PUBLISHER until paid for. The ownership of the copies of the GUIDE and PRODUCTS passes to DISTRIBUTOR when the full payment is received by PUBLISHER. DISTRIBUTOR shall guarantee suitable storage, handling and care of the GUIDE both at the printer and its warehouse. DISTRIBUTOR shall insure copies of the GUIDE and PRODUCTS both at the printer and in its warehouse and in transit within the Territory.10.0BUSINESS ENTITY10.1In the event of an arms length sale of all or a significant part of DISTRIBUTORs business this agreement shall be assigned to the new partners/owners. However, if this is not acceptable to PUBLISHER it may terminate the Agreement with 3 months written notice. 11.0MISCELLANEOUS11.1Nothing in this agreement implies a transfer of copyright in the GUIDE to DISTRIBUTOR.11.2This agreement constitutes the whole agreement between the parties concerning the GUIDE and supersedes all previous agreements whether written or oral. Modifications or amendments to it shall only be valid if in writing and signed by an officer of either party.11.3In the event that any provision of this agreement becomes null and void, invalid or unenforceable through events beyond the control of either PUBLISHER or DISTRIBUTOR then the remaining agreement shall remain valid and in full force and PUBLISHER and DISTRIBUTOR shall seek to negotiate new provisions to replace the invalid, void or unenforceable provisions.11.4All disputes arising out of or in connection with this Agreement shall be referred to the arbitration in Singapore of a single independent arbitrator appointed between the parties or, in default of agreement, nominated on the application of either party by the President for the time being of the Law Society of Singapore.
