CancellationAgreement

ThisCancellationAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

Recitals

WHEREAS,PartyAandPartyBenteredintoa[Contractname](the"OriginalContract")on[dateoforiginalcontract];

WHEREAS,bothpartiesnowdesiretocanceltheOriginalContractandterminateallrightsandobligationsthereunder.

Agreement

1.CancellationoftheOriginalContract

-PartyAandPartyBherebymutuallyagreetocancelandterminatetheOriginalContract,effectiveasofthedateofthisAgreement.AllrightsandobligationsofthepartiesundertheOriginalContractshallceaseandterminateasofsuchdate,exceptasotherwiseprovidedherein.

2.ReturnofConsiderationandAssets

-Ifeitherpartyhasreceivedanyconsideration,property,orassetsfromtheotherpartyinconnectionwiththeOriginalContract,thereceivingpartyshallreturnsuchconsideration,property,orassetstotheotherpartywithin[numberofdays]daysoftheexecutionofthisAgreement.Thereturnshallbemadeinthesameformandconditionasreceived,totheextentpossible.

3.ReleaseofClaims

-Eachpartyherebyreleasesandforeverdischargestheotherparty,itsaffiliates,officers,directors,employees,agents,andrepresentativesfromanyandallclaims,causesofaction,liabilities,damages,losses,costs,andexpensesofeverykindandnature,whetherknownorunknown,arisingoutoforinanywayrelatedtotheOriginalContractorthetransactionscontemplatedtherein.

4.Confidentiality

-TheconfidentialityobligationsofthepartiesundertheOriginalContract,ifany,shallsurvivethecancellationoftheOriginalContractandremaininfullforceandeffectinaccordancewiththetermsoftheOriginalContract.

5.Non-disparagement

-Eachpartycovenantsandagreesthatitwillnotmakeanystatements,oralorwritten,thataredisparagingordefamatoryoftheotherparty,itsproducts,services,business,orreputation.

6.EntireAgreement

-ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

7.AmendmentsandWaivers

-Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

8.GoverningLaw

-ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Governinglawjurisdiction].

9.Severability

-IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.

INWITNESSWHEREOF,thepartieshaveexecutedthisCancellationAgreementasofthedatefirstabovewritten.
