I.Introduction

III.RightsandObligations

A.RightsofPartyA

1.Payment

PartyAhastherighttoreceivepaymentfromPartyBinaccordancewiththetermsofthisAgreement.

2.Inspection(forgoods)

Beforeacceptingthegoods,PartyBshallhavetherighttoinspectthegoodsforpliancewiththeagreeduponspecifications.IfPartyBdiscoversanydefectsornonpliance,PartyAshallbenotifiedpromptly,andPartyAshallhavetheopportunitytoremedythesituation.

B.RightsofPartyB

1.QualityAssurance(forgoodsandservices)

PartyBhastherighttoexpectthatthegoodsandservicesprovidedbyPartyAmeetthequalitystandardsspecifiedinthisAgreement.

2.InformationAccess

PartyBshallhavetherighttoaccessrelevantinformationanddocumentationprovidedbyPartyAinconnectionwiththeperformanceofthisAgreement,subjecttoreasonableconfidentialityrestrictions.

C.ObligationsofPartyA

1.GoodsRelatedObligations

PartyAshallensurethatthegoodsareofmerchantablequalityandfitfortheordinarypurposesforwhichsuchgoodsareused.

PartyAshallprovideallnecessarydocumentationrelatedtothegoods,suchasinvoices,certificatesoforigin,andqualityinspectionreports.

2.ServicesRelatedObligations

PartyAshallperformtheservicesinatimely,professional,andsatisfactorymanner.

PartyAshallindemnifyandholdPartyBharmlessfromanylosses,damages,liabilities,orexpensesarisingoutoforinconnectionwithPartyA'sperformanceoftheservices,excepttotheextentcausedbyPartyB'sownnegligenceorwillfulmisconduct.

D.ObligationsofPartyB

1.PaymentObligations

PartyBshallpayPartyAtheagreeduponpriceforthegoodsorservicesinaccordancewiththepaymenttermsspecifiedbelow.

2.CooperationObligations

PartyBshallcooperatewithPartyAinallreasonablerespectstofacilitatetheperformanceofthisAgreement.Thisincludesprovidingnecessaryinformation,accesstofacilities(ifapplicable),andtimelyresponsestoPartyA'srequests.

IV.PaymentTerms

A.Price

1.Goods

Thetotalpriceforthegoodsshallbe[currency][amount].Thispriceincludesallcostsrelatedtothegoods,suchasmanufacturing,packaging,transportation,andtaxes(exceptforanytaxesspecificallypayablebyPartyB).

B.PaymentSchedule

V.DeliveryandAcceptance

A.Delivery

1.DeliveryNotice

PartyAshallnotifyPartyBinwritingatleast[numberofdays]daysbeforethescheduleddeliverydate.Thenoticeshallincludedetailssuchasthequantityofgoods,deliverytime,anddeliverymethod.

2.DeliveryRisk

TheriskoflossordamagetothegoodsshallpassfromPartyAtoPartyBupondeliveryattheagreedupondeliverylocation.

B.Acceptance

1.InspectionPeriod

PartyBshallhave[numberofdays]daysfromthedateofdeliverytoinspectthegoods.IfPartyBfailstonotifyPartyAofanydefectsornonpliancewithinthisperiod,thegoodsshallbedeemedtohavebeenaccepted.

2.AcceptanceCriteria

Thegoodsshallbeacceptediftheyconformtothespecifications,qualitystandards,andquantityrequirementssetforthinthisAgreement.IfPartyBdeterminesthatthegoodsdonotmeettheacceptancecriteria,PartyBshallnotifyPartyAinwritingwithintheinspectionperiod,specifyingthereasonsfornonacceptance.PartyAshallthenhavetheoptiontoremedythedefectsorreplacethegoodswithinareasonabletime.

VI.IntellectualPropertyRights

1.Ownership

ForgoodsprovidedunderthisAgreement,PartyAwarrantsthatithasthelegalrighttosellthegoodsandthatthegoodsdonotinfringeonanythirdpartyintellectualpropertyrights.Forservicesprovided,PartyAshallretainownershipofanyintellectualpropertycreatedinthecourseofprovidingtheservices,unlessotherwiseagreedinwriting.

2.UseRights

PartyBshallhavetherighttousethegoodsandservicesprovidedbyPartyAsolelyforthepurposeofitsbusinessoperationsascontemplatedbythisAgreement.PartyBshallnotsublicense,transfer,orotherwisedistributethegoodsorserviceswithoutthepriorwrittenconsentofPartyA.

VII.Confidentiality

1.ConfidentialInformationDefined

"ConfidentialInformation"shallincludeanyinformationdisclosedbyeitherpartytotheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtobusinessplans,financialinformation,customerlists,andtechnicalspecifications.

2.ObligationtoKeepConfidential

EachpartyshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

3.Exceptions

Thisconfidentialityobligationshallnotapplytoinformationthatisalreadyinthepublicdomain,informationthatbespubliclyavailablethroughnofaultofthereceivingparty,orinformationthatthereceivingpartyislegallyrequiredtodisclose.

VIII.TermandTermination

A.Term

ThisAgreementshallbeeffectiveasofthedateofexecutionandshallremaininforceforaperiodof[numberofyears/months]unlessterminatedearlierinaccordancewiththetermsofthisAgreement.

B.Termination

1.ByAgreement

ThepartiesmayterminatethisAgreementbymutualwrittenagreementatanytime.

2.ForBreach

IfeitherpartymateriallybreachesthisAgreementandfailstocuresuchbreachwithin[numberofdays]daysafterreceivingwrittennoticefromthenonbreachingparty,thenonbreachingpartyshallhavetherighttoterminatethisAgreement.

3.ConsequencesofTermination

UponterminationofthisAgreement,allrightsandobligationsofthepartieshereundershallcease,exceptforthoseobligationsthatbytheirnatureareintendedtosurvivetermination,suchaspaymentobligations,confidentialityobligations,andintellectualpropertyrightsprovisions.

Ix.ForceMajeure

1.Definition

"ForceMajeure"shallmeananyeventorcircumstancebeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod,naturaldisasters,war,strikes,lockouts,andgovernmentregulations,whichpreventssuchpartyfromperformingitsobligationsunderthisAgreement.

2.EffectonPerformance

IfapartyisunabletoperformitsobligationsunderthisAgreementduetoForceMajeure,suchpartyshallbeexcusedfromperformanceforthedurationoftheForceMajeureevent,providedthatitgivespromptwrittennoticetotheotherpartyandusesallreasonableeffortstomitigatetheeffectsoftheForceMajeureevent.
