2025國際技術許可合同的法律性條款商訂與英譯MODELAGREEMENTONTHENEGOTIATIONANDENGLISHTRANSLATIONOFLEGALCLAUSESFORANINTERNATIONALTECHNOLOGYLICENSEAGREEMENT(2025)THISTECHNOLOGYLICENSEAGREEMENT(hereinafterreferredtoasthe"Agreement")isenteredintoasofthedayof,2025(the"EffectiveDate"),byandbetween:Licensor:[FullLegalNameofLicensor][AddressofLicensor][City,State,ZIPCode][Country][EmailAddress][PhoneNumber](Hereinafterreferredtoasthe"Licensor")andLicensee:[FullLegalNameofLicensee][AddressofLicensee][City,State,ZIPCode][Country][EmailAddress][PhoneNumber](Hereinafterreferredtoasthe"Licensee")RECITALSWHEREAS,LicensorownscertainproprietaryTechnology(asdefinedbelow)thatisthesubjectofthisAgreement;ANDWHEREAS,LicenseedesirestoobtainalicensetousesuchTechnologyforthepurposessetforthherein;ANDWHEREAS,thepartiesdesiretoestablishthetermsandconditionsunderwhichsuchlicenseshallbegranted.NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:1.DEFINITIONS1.1"Technology"meansallintellectualpropertyownedbyLicensor,includingbutnotlimitedtopatents,patentapplications,trademarks,tradesecrets,copyrights,andknow-howrelatedto[specificdescriptionofthetechnology],aswellasanyimprovementsormodificationstheretodevelopedbyLicensorduringthetermofthisAgreement.1.2"LicensedProducts"meansanyproductsorservicesdeveloped,manufactured,ordistributedbyLicenseethatincorporateorutilizetheTechnology.1.3"Territory"meansthegeographicalareawhereLicenseeisgrantedtherighttousetheTechnology,whichshallbe[specificdescriptionoftheterritory].1.4"Term"meanstheperiodoftimeduringwhichthisAgreementisineffect,commencingontheEffectiveDateandcontinuinguntil[specificterminationdateorcondition].1.5"Royalty"meansthecompensationpayablebyLicenseetoLicensorinaccordancewiththetermsofthisAgreement.1.6"ConfidentialInformation"meansanynon-public,proprietaryinformationdisclosedbyonepartytotheother,includingbutnotlimitedtobusinessplans,financialdata,technicalinformation,andothersensitivematerials.2.LICENSEGRANT2.1SubjecttothetermsandconditionsofthisAgreement,LicensorherebygrantstoLicenseeanon-exclusive,non-transferablelicensetouse,reproduce,modify,anddistributetheTechnologywithintheTerritorysolelyforthepurposeofmanufacturingandmarketingtheLicensedProducts.2.2LicenseeacknowledgesthatnorightsorlicensesaregrantedoutsidethescopeexplicitlysetforthinthisAgreement,andthatallsuchrightsremainthesoleandexclusivepropertyofLicensor.2.3Licensorreservestherighttoterminatethislicenseupon[specificcondition],includingbutnotlimitedtoLicensee'sbreachofthisAgreementorfailuretomeetminimumperformancerequirements.3.PAYMENTOFROYALTY3.1Asconsiderationforthelicensegrantedherein,LicenseeagreestopayLicensoraroyaltyof[specificpercentageoramount]ofthenetsalesofLicensedProducts.3.2Royaltiesshallbepaidquarterly,within[number]daysfollowingtheendofeachcalendarquarter,accompaniedbyadetailedstatementofsalesandcalculations.3.3Licenseeshallmaintainaccuraterecordsofallsalesandotherrelevantdata,andshallmakesuchrecordsavailableforinspectionbyLicensoruponreasonablenotice.3.4AllpaymentsunderthisAgreementshallbemadein[currency]andshallbefreeandclearofanydeductionsorwithholdingtaxes,exceptasrequiredbylaw.4.CONFIDENTIALITY4.1EachpartyagreestomaintaintheconfidentialityofallConfidentialInformationdisclosedbytheotherpartyandtousesuchinformationsolelyforthepurposesofthisAgreement.4.2TheobligationsunderthisSection4shallsurvivetheterminationofthisAgreementandshallnotbelimitedintime.4.3Notwithstandingtheforegoing,apartyshallnotbeobligatedtomaintaintheconfidentialityofinformationthatbecomespubliclyavailablethroughnofaultofthereceivingpartyorthatisrightfullyreceivedfromanothersourcewithoutbreachofconfidentiality.5.TERMANDTERMINATION5.1ThisAgreementshallcommenceontheEffectiveDateandcontinueuntil[specificterminationdateorcondition],unlessterminatedearlierinaccordancewiththisSection5.5.2EitherpartymayterminatethisAgreementupon[number]days'writtennoticeiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[number]daysofreceiptofwrittennotice.5.3UponterminationofthisAgreement,LicenseeshallimmediatelyceasealluseoftheTechnologyandreturnallcopiesofConfidentialInformationtoLicensor.5.4TerminationofthisAgreementshallnotrelieveeitherpartyofanyobligationaccruedpriortotheeffectivedateoftermination.6.INDEMNITY6.1Licenseeagreestoindemnify,defend,andholdharmlessLicensor,itsaffiliates,directors,officers,employees,andagentsfromandagainstanyandallclaims,damages,losses,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforrelatingtotheuse,reproduction,modification,ordistributionoftheTechnologybyLicenseeoritssublicensees.6.2Licensoragreestoindemnify,defend,andholdharmlessLicensee,itsaffiliates,directors,officers,employees,andagentsfromandagainstanyandallclaims,damages,losses,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforrelatingtoanyinfringementofthird-partyintellectualpropertyrightsbytheTechnology.6.3TheindemnificationobligationsunderthisSection6shallsurvivetheterminationofthisAgreement.7.MISCELLANEOUS7.1GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[specificjurisdiction],withoutregardtoitsconflictoflawprinciples.7.2DisputeResolution:AnydisputearisingoutoforrelatingtothisAgreementshallberesolvedthrougharbitrationin[specificlocation],inaccordancewiththerulesofthe[specificarbitrationinstitution].Thearbitrationpanelshallconsistof[number]arbitrators,andthelanguageofthearbitrationshallbe[specificlanguage].7.3EntireAgreement:ThisAgreementconstitutestheentireunderstandingbetweenthepartiesandsupersedesallprioragreements,representations,orunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.7.4Amendments:AnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothparties.7.5Waiver:ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.7.6Severability:IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.7.7Counterparts:
