20254-金屬結(jié)構(gòu)供應(yīng)純貿(mào)易-英文版合同ContractfortheSupplyofMetalStructures(PureTradeAgreement)ContractNumber:Date:PlaceofSigning:PartiestotheContract:ThisContractisenteredintoonthisdayof,20(the"EffectiveDate"),byandbetween:Supplier(hereinafterreferredtoas"Seller")Name:Address:ContactPerson:Telephone:Email:Buyer(hereinafterreferredtoas"Buyer")Name:Address:ContactPerson:Telephone:Email:Recitals:WHEREAS,theSellerisengagedinthebusinessofmanufacturingandsupplyingmetalstructures(the"Goods");andWHEREAS,theBuyerdesirestopurchasetheGoodsfromtheSellerforthepurposesof[statethepurpose,e.g.,constructionprojects,industrialapplications,etc.];NOW,THEREFORE,thepartiesheretoagreeasfollows:1.DESCRIPTIONOFGOODS1.1TheSelleragreestosupply,andtheBuyeragreestopurchase,thefollowingGoods:[Detaileddescriptionofmetalstructures,includingspecifications,dimensions,weight,materialgrade,etc.AttachadetailedtechnicalspecificationsheetasAnnexA.]Quantity:units.TotalValue:USD(inwords:).1.2TheGoodsshallconformtothespecificationssetforthinthisContractandshallbeofgoodqualityandfreefromdefects.2.PRICEANDPAYMENT2.1ThetotalpricefortheGoods(includingapplicabletaxesandduties)isUSD(inwords:).2.2Paymentshallbemadeasfollows:[Methodofpayment:e.g.,banktransfer,letterofcredit,etc.][Termsofpayment:e.g.,adepositof%uponsigningtheContract,withthebalancedueupondeliveryorwithindaysafterdelivery.]2.3Intheeventofanydelayinpayment,theBuyershallberesponsibleforpayinginterestontheoverdueamountatarateof%perannum.3.DELIVERYANDACCEPTANCE3.1DeliveryoftheGoodsshallbemadeat[deliverylocation,e.g.,Seller'sfactory,Buyer'spremises,etc.],by[modeoftransport,e.g.,road,rail,sea,air],onorbefore(the"DeliveryDate").3.2RiskoflossordamagetotheGoodsshallpasstotheBuyerupondeliveryinaccordancewiththeagreedterms.3.3TheBuyershallinspecttheGoodswithin(e.g.,5workingdays)afterdeliveryandnotifytheSellerofanydiscrepanciesordefects.FailuretonotifywithinthisperiodshallbedeemedasacceptanceoftheGoods.4.WARRANTIESANDGUARANTEES4.1TheSellerwarrantsthattheGoodsconformtothespecificationsoutlinedinthisContractandarefreefromdefectsinmaterialandworkmanshipforaperiodofyearsfromtheDeliveryDate.4.2TheSellershall,atitsownexpense,replaceorrepairanydefectiveGoodswithindaysofwrittennoticefromtheBuyer.5.INSURANCE5.1TheSellershalleffectinsurancecoveragefortheGoodsagainstlossordamageduringtransitintheamountofUSD,coveringallrisks.AcertificateofinsuranceshallbeprovidedtotheBuyerpriortoshipment.6.TAXESANDDUTIES6.1TheSellershallberesponsibleforalltaxesanddutiesapplicableinitsjurisdiction.TheBuyershallberesponsibleforallimporttaxes,duties,andotherchargesapplicableinitsjurisdiction.7.CONFIDENTIALITY7.1AllinformationdisclosedbyonepartytotheotherinconnectionwiththisContractshallbetreatedasconfidentialandshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.8.CONFIRMATIONOFGOODS'COMPLIANCE8.1TheGoodsshallcomplywithallapplicablelaws,regulations,andstandardsinforceinthejurisdiction(s)wheretheGoodsaremanufacturedand/orsupplied.9.FORCEMAJEURE9.1NeitherpartyshallbeliableforanybreachofthisContractresultingfromanactofGod,war,strike,riot,lockout,governmentalaction,orothercircumstancesbeyonditsreasonablecontrol(collectively"ForceMajeure").9.2TheaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceofaForceMajeureeventandprovideacertificateissuedbytherelevantauthority.9.3ThedurationofForceMajeureshallbeaslongastheobstacleexists,andtheobligationsoftheaffectedpartyshallbesuspendedfortheduration.10.TERMINATION10.1EitherpartymayterminatethisContractiftheotherpartyfailstoperformanyofitsobligationsunderthisContractandsuchfailurecontinuesforaperiodofdaysafterreceivingwrittennoticespecifyingthedefault.10.2Upontermination,theBuyershallpayforanyGoodsalreadydeliveredandaccepted,andtheSellershallrefundanyadvancepaymentsmadebytheBuyerforundeliveredGoods.11.DISPUTERESOLUTION11.1AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthrough友好negotiationbetweentheparties.11.2Ifthedisputecannotberesolvedthroughnegotiation,itshallbereferredtoarbitrationin(city/country)inaccordancewiththerulesofthe[arbitrationinstitution,e.g.,InternationalChamberofCommerce(ICC)].Thearbitrationawardshallbefinalandbindingonbothparties.12.GOVERNINGLAW12.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof(jurisdiction).13.NOTICES13.1Allnotices,demands,requests,orothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenifsentbyregisteredorcertifiedmail,returnreceiptrequested,orbyovernightcourierservice,totheaddressoftherespectivepartyassetforthinthisContract.14.MISCELLANEOUS14.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriorunderstandings,agreements,orrepresentations,whetheroralorwritten.14.2NowaiverofanyprovisionofthisContractshallbeeffectiveunlessmadeinwritingandsignedbythepartyagainstwhomthewaiverissoughttobeenforced.14.3ThefailureofeitherpartytoenforceanyprovisionofthisContractshallnot
