1.2AgentrepresentsandwarrantsthatitisalegallyincorporatedentityingoodstandingandhasthefullpowerandauthoritytoenterintothisAgreement.
1.3Principalrepresentsandwarrantsthatithasallnecessaryrights,licenses,andconsentstooffertheproductsandservicesdescribedinthisAgreement.
1.4Agentrepresentsandwarrantsthatithasallnecessaryrights,licenses,andconsentstoactasanagentforPrincipal.
OBLIGATIONS:
2.1PrincipalshallprovideAgentwiththenecessarymarketingmaterials,productinformation,andtrainingtoenableAgenttoeffectivelymarketandselltheproductsandservicesdescribedinthisAgreement.
2.2Agentshalluseitsbesteffortstopromote,market,andselltheproductsandservicesdescribedinthisAgreementwithinthedesignatedterritory.
2.3PrincipalshallprovideAgentwithtimelyupdatesonproductavailability,pricing,andpromotions.
2.4AgentshallpromptlyreportanycustomercomplaintsorissuestoPrincipal.
2.5Agentshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsobligationsunderthisAgreement.
TERMANDTERMINATION:
3.1ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[Term],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
3.2EitherpartymayterminatethisAgreementuponwrittennoticetotheotherparty,providedthatsuchterminationshallbeeffectiveupontheexpirationofa[NoticePeriod],unlessashorterperiodisrequiredbyapplicablelaw.
3.3Intheeventoftermination,Agentshallpromptlyreturnallconfidentialinformation,marketingmaterials,andotherpropertyprovidedbyPrincipal.
LIABILITY:
4.1Principalshallnotbeliableforanydirect,indirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceornon-performanceofitsobligationsunderthisAgreement.
4.2AgentshallindemnifyandholdharmlessPrincipalfromandagainstanyandallclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththeperformanceornon-performanceofitsobligationsunderthisAgreement.
CONFIDENTIALITY:
5.1ThepartiesagreetokeepconfidentialallconfidentialinformationdisclosedtothembytheotherpartyinconnectionwiththisAgreement.
5.2Confidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.
5.3TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.

1.2AgentrepresentsandwarrantsthatitisalegallyincorporatedentityingoodstandingandhasthefullpowerandauthoritytoenterintothisAgreement.
1.3ThirdPartyrepresentsandwarrantsthatitisalegallyincorporatedentityingoodstandingandhasthefullpowerandauthoritytoenterintothisAgreement.
1.4Principal,Agent,andThirdPartycollectivelyrepresentandwarrantthattheyhaveallnecessaryrights,licenses,andconsentstoenterintothisAgreementandperformtheirobligationshereunder.
OBLIGATIONSANDRIGHTSOFPRINCIPAL:
2.1PrincipalshallprovideAgentwithexclusiverightstomarketandsellPrincipal'sproductswithinthedesignatedterritory,subjecttothetermsofthisAgreement.
2.2PrincipalshallensurethatAgenthasaccesstothenecessarymarketingmaterials,productinformation,andtrainingtoeffectivelyperformitsobligations.
2.3PrincipalshallhavetherighttoterminatethisAgreementifAgentfailstomeetitsperformanceobligations,inwhichcasePrincipalmayappointanewAgent.
2.4PrincipalshallhavetherighttoreviewandapproveanychangestoAgent'smarketingstrategy.
2.5PrincipalshallhavetherighttoauditAgent'sfinancialrecordsandsalesreportstoensurecompliancewiththisAgreement.
2.6Principalshallbeentitledtoreceiveashareoftheprofitsderivedfromsalesofitsproductswithinthedesignatedterritory,asspecifiedinExhibitB:SalesCompensationPlan.
RIGHTSANDOBLIGATIONSOFAGENT:
3.1AgentshallexclusivelymarketandsellPrincipal'sproductswithinthedesignatedterritory.
3.2AgentshallmaintainanddevelopasalesforcetosupportthesalesofPrincipal'sproducts.
3.3AgentshallreportallsalesdataandperformancemetricstoPrincipalonamonthlybasis.
3.4AgentshallcomplywithPrincipal'squalitystandardsandproductspecifications.
RIGHTSANDOBLIGATIONSOFTHIRDPARTY:
4.1ThirdPartyshallprovidelogisticalsupportandsupplychainmanagementservicestoAgentinconnectionwiththesalesofPrincipal'sproducts.
4.2ThirdPartyshallensurethatthesupplychainmeetsPrincipal'sstandardsandthatproductsaredeliveredontime.
4.3ThirdPartyshallberesponsibleforanycustomsduties,taxes,andotherimport/export-relatedcosts.
LIMITATIONSANDRESTRICTIONS:
5.1AgentshallnotengageinanyactivitythatcouldharmthereputationofPrincipaloritsproducts.
5.2AgentshallnotsellPrincipal'sproductstoanycompetitorsorusethemforanycompetitivepurposes.
5.3AgentshallnotdiscloseanyconfidentialinformationofPrincipaltoanythirdpartywithoutthepriorwrittenconsentofPrincipal.
TERMANDTERMINATION:
6.1ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[Term],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
6.2PrincipalmayterminatethisAgreementuponwrittennoticetoAgentifAgentbreachesanymaterialtermofthisAgreement.
6.3PrincipalmayterminatethisAgreementuponwrittennoticetoThirdPartyifThirdPartyfailstomeetitsobligationsunderthisAgreement.
LIABILITY:
7.1PrincipalshallnotbeliableforanydamagesarisingfromtheactionsofAgentorThirdPartyunlesssuchdamagesresultfromPrincipal'sownnegligenceorwillfulmisconduct.
7.2AgentshallindemnifyandholdharmlessPrincipalfromanyandallclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwithAgent'sbreachofthisAgreement.
7.3ThirdPartyshallindemnifyandholdharmlessPrincipalfromanyandallclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwithThirdParty'sbreachofthisAgreement.

2.2AgentshallreceiveacommissiononallsalesofPrincipal'sproductswithinthedesignatedterritory,asspecifiedinExhibitB:CommissionStructure.
2.3Agentshallhavetherighttonegotiateandenterintoagreementswiththird-partysupplierstoenhancethesupplychainefficiency.
2.4AgentshallhavetherighttoreceivemarketingsupportandpromotionalmaterialsfromPrincipaltoassistinthesalesefforts.
2.5AgentshallhavetherighttorequestandreceivetrainingandsupportfromPrincipaltomaintainthequalityofserviceprovidedtocustomers.
RIGHTSANDOBLIGATIONSOFTHIRDPARTY:
3.1ThirdPartyshallprovidewarehousing,distribution,andlogisticsservicestoAgenttoensuretimelydeliveryofproductstocustomers.
3.2ThirdPartyshallmaintaininventorylevelstomeetcustomerdemandandshallprovidereal-timeinventoryreportstoAgent.
3.3ThirdPartyshallhandleallcustomsclearanceandshippingdocumentationfortheimportandexportofproducts.
3.4ThirdPartyshallensurecompliancewithallrelevantlawsandregulationsgoverningthetransportationandhandlingofgoods.
LIMITATIONSANDRESTRICTIONSOFPRINCIPAL:
4.1PrincipalshallnotappointanyotherAgentwithinthedesignatedterritorywithoutthepriorwrittenconsentofAgent.
4.2PrincipalshallnotdirectlysellproductstocustomerswithinthedesignatedterritorywithouttheconsentofAgent,exceptincasesofemergencyorauthorizedresale.
4.3PrincipalshallnotdiscloseanyconfidentialinformationofAgenttoanythirdpartywithoutthepriorwrittenconsentofAgent.
4.4PrincipalshallnotalterthetermsofthisAgreementwithoutprovidingAgentwithatleast[NoticePeriod]days'writtennotice.
TERMANDTERMINATION:
5.1ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[Term],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
