GeneralImportContractforGoods

ThisGeneralImportContract(the"Contract")ismadeandenteredintoasof[InsertDate](the"EffectiveDate")byandbetween[Seller'sFullLegalName],a[Seller'sCountry]companywithitsprincipalplaceofbusinessat[Seller'sAddress](hereinafterreferredtoas"Seller"),and[Buyer'sFullLegalName],a[Buyer'sCountry]companywithitsprincipalplaceofbusinessat[Buyer'sAddress](hereinafterreferredtoas"Buyer").

WHEREAS,Sellerisengagedinthebusinessofmanufacturingandselling[Products]andiswillingtosellthesametoBuyer;

WHEREAS,Buyerdesirestopurchasethe[Products]fromSellerforitsownuseorresale;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

Article1:DescriptionofGoods

1.1ThegoodstobesoldbySellerandpurchasedbyBuyerunderthisContractaredescribedinScheduleAattachedheretoandmadeaparthereof(the"Goods").

1.2TheGoodsshallbeofthequality,specifications,andstandardsassetforthinScheduleA.

1.3SellerwarrantsthattheGoodsshallbenew,unused,andofthefirstclass,andshallbefreefromanydefectsinmaterialandworkmanship.

Article2:Price

2.1ThepricefortheGoodsshallbeassetforthinScheduleBattachedheretoandmadeaparthereof(the"Price").

2.2ThePriceisbasedontheassumptionthattheGoodswillbedeliveredtotheportofdestinationasspecifiedinScheduleCattachedheretoandmadeaparthereof(the"PortofDestination").

2.3ThePriceisexclusiveofalltaxes,duties,andotherchargesimposedbyanygovernmentauthority,whichshallbebornebyBuyer.

Article3:PaymentTerms

3.1BuyershallpaySellerthePriceinaccordancewiththefollowingterms:

3.1.1Adepositof[Percentage]%ofthePriceshallbepaidbyBuyertoSellerwithin[Number]daysaftertheexecutionofthisContract.

3.1.2ThebalanceofthePriceshallbepaidbyBuyertoSellerupondeliveryoftheGoodstothePortofDestination.

3.2Allpaymentsshallbemadein[Currency]andshallbefreeandclearofandwithoutdeductionforanytaxes,levies,imposts,deductions,charges,orwithholdingsofanynature.

3.3IfBuyerfailstomakeanypaymentwhendue,Sellershallhavetherighttochargeinterestontheoverdueamountattherateof[InterestRate]%perannum.

Article4:Delivery

4.1SellershalldelivertheGoodstothePortofDestinationwithin[Number]daysafterreceiptofthedepositreferredtoinArticle3.1.1.

4.2DeliveryoftheGoodsshallbedeemedtohavebeenmadewhentheGoodshavebeenloadedonboardthevesselnominatedbySellerattheportofloading.

4.3SellershallprovideBuyerwithwrittennoticeoftheestimatedtimeofarrivaloftheGoodsatthePortofDestinationatleast[Number]dayspriortotheexpectedarrival.

4.4BuyershalltakedeliveryoftheGoodsatthePortofDestinationandshallbearallrisksandcostsassociatedwiththetransportationoftheGoodsfromthePortofDestinationtothefinaldestination.

Article5:InspectionandAcceptance

5.1BuyershallhavetherighttoinspecttheGoodsattheportofloadingbeforeshipment.IftheGoodsdonotconformtothespecificationssetforthinScheduleA,BuyermayrejecttheGoodsandterminatethisContract.

5.2UponarrivaloftheGoodsatthePortofDestination,BuyershallhavetherighttoinspecttheGoods.IftheGoodsarefoundtobedamagedornotconformingtothespecificationssetforthinScheduleA,BuyershallhavetherighttorejecttheGoodsandclaimdamagesfromSeller.

5.3IfBuyerfailstoinspecttheGoodswithin[Number]daysafterarrivalatthePortofDestination,theGoodsshallbedeemedtohavebeenacceptedbyBuyer.

Article6:WarrantyandLiability

6.1SellerwarrantsthattheGoodsshallbefreefromdefectsinmaterialandworkmanshipforaperiodof[Number]monthsfromthedateofdeliverytothePortofDestination.

6.2IftheGoodsarefoundtobedefectivewithinthewarrantyperiod,Sellershall,atitsoption,eitherreplacethedefectiveGoodsorrefundthePricepaidbyBuyerforthedefectiveGoods.

6.3Seller'sliabilityunderthisContractshallbelimitedtothereplacementorrefundofthedefectiveGoodsasprovidedinArticle6.2.Sellershallnotbeliableforanyindirect,special,incidental,orconsequentialdamages.

Article7:ForceMajeure

7.1IfeitherpartyispreventedfromperforminganyofitsobligationsunderthisContractduetoforcemajeure,suchpartyshallnotbeliableforanydelayorfailureinperformance.

7.2Forcemajeureshallinclude,butnotbelimitedto,actsofGod,war,civildisturbance,strikes,lockouts,fires,floods,earthquakes,storms,andanyothercausesbeyondthereasonablecontroloftheaffectedparty.

7.3Thepartyaffectedbyforcemajeureshallpromptlynotifytheotherpartyinwritingofthenatureandextentoftheforcemajeureeventandshalluseitsbesteffortstomitigatetheeffectsoftheforcemajeureevent.

Article8:Termination

8.1ThisContractmaybeterminatedbyeitherpartyintheeventofamaterialbreachbytheotherparty,providedthatthebreachingpartyhasnotcuredthebreachwithin[Number]daysafterreceiptofwrittennoticeofthebreach.

8.2UponterminationofthisContract,anyamountspaidbyBuyertoSellershallberefundedbySellertoBuyer,andanyGoodsdeliveredtoBuyershallbereturnedtoSelleratSeller'sexpense.

Article9:GoverningLaw

9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawJurisdiction].

9.2AnydisputearisingoutoforinconnectionwiththisContractshallbesubmittedtoarbitrationin[ArbitrationLocation]inaccordancewiththerulesof[ArbitrationInstitution]thenineffect.

Article10:Confidentiality

10.1EachpartyagreestokeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisContract,exceptasrequiredbylaworregulatoryauthority.

10.2TheobligationofconfidentialityshallsurvivetheterminationorexpirationofthisContract.

Article11:Notices

11.1Allnotices,requests,demands,andothercommunicationsunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonallyorsentbyregisteredmail,returnreceiptrequested,totheaddressessetforthinthisContractorsuchotheraddressesaseitherpartymayspecifyinwriting.

Article12:EntireAgreement

12.1ThisContract,includingtheschedulesattachedhereto,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings.

Article13:AmendmentsandWaivers

13.1Noamendment,modification,orwaiverofanyprovisionofthisContractshallbeeffectiveunlessinwritingandsignedbybothparties.

13.2NowaiverofanybreachofanyprovisionofthisContractshallconstituteawaiverofanyprior,concurrent,orsubsequentbreachofthesameoranyotherprovisionhereof.

Article14:Assignment

14.1NeitherpartymayassignitsrightsordelegateitsobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty.

Article15:Severability

15.1IfanyprovisionofthisContractisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

Article16:Counterparts

16.1ThisContractmay
