塑料零件購(gòu)銷合同合同編號(hào)：__________plasticpartspurchasingandsalescontractBETWEENPartyA:(Hereinafterreferredtoas"Seller")PartyB:(Hereinafterreferredtoas"Buyer")Address:_______________________LegalRepresentative:_______________________IDNumber:_______________________Tel:_______________________Fax:_______________________Thepartieshereto,inordertoproperlycarryoutthepurchaseandsaleofplasticparts,haveenteredintothisContractinaccordancewiththeprinciplesofequalityandvoluntariness,fairnessandjustice,andhavereachedthefollowingtermsandconditions:Article1:ScopeofProducts1.1TheproductspurchasedtheBuyerfromtheSellerareplasticparts(Hereinafterreferredtoas"Products"),asspecifiedintheattachedProductList.1.2Thespecifictechnicalrequirements,specifications,quantity,andotherinformationoftheProductsshallbeasstipulatedintheProductListattachedhereto.Article2:QualityandStandards2.1TheProductsshallmeetthequalitystandardsspecifiedintheProductListandrelevantnationalandindustrystandards.2.2TheSellershallprovidetheBuyerwiththerelevantqualityinspectionreportsandcertificationsfortheProductsuponrequest.Article3:PriceandPaymentTerms3.1ThepriceoftheProductsshallbeasstipulatedintheProductListattachedhereto.3.2ThepaymenttermsfortheProductsshallbeasfollows:(1)30%ofthetotalamountshallbepaidtheBuyerwithin3daysafterthesigningofthisContract,asanadvancepayment;(2)Theremaining70%ofthetotalamountshallbepaidtheBuyeruponthedeliveryandacceptanceoftheProductstheSeller.3.3Thepaymentmethodsshallbeasagreedthepartieshereto.Article4:DeliveryandInspection4.1TheSellershalldelivertheProductstotheplaceofdestinationspecifiedtheBuyerwithinthetimelimitagreeduponinthisContract.4.2TheBuyershallinspecttheProductsupondeliveryandsigntheDeliveryReceipt.IftheProductsdonotmeettheagreedqualitystandardsorspecifications,theBuyershallhavetherighttorequesttheSellertoreplaceorrefundtheProductswithinareasonabletimelimit.4.3ThetransportationexpensesshallbebornetheBuyer,unlessotherwiseagreedthepartieshereto.Article5:Warranty5.1TheSellerwarrantsthattheProductsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof12monthsfromthedateofdelivery.5.2IfanydefectisfoundintheProductswithinthewarrantyperiod,theSellershall,atitsownexpense,repairorreplacethedefectiveProductsorrefundtheBuyerthepurchasepriceforsuchProducts.Article6:Confidentiality6.1Thepartiesheretoshallkeepconfidentialanybusiness,technical,orotherproprietaryinformationexchangedbetweenthemduringtheperformanceofthisContract,unlesssuchinformationisgenerallyknowntothepublicorlegallyrequiredtobedisclosed.6.2TheconfidentialityobligationshallsurvivetheexpirationorterminationofthisContract.Article7:DisputeResolution7.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough友好協(xié)商.Ifthepartiesheretofailtoresolvethedisputesthroughfriendlynegotiation,eitherpartymaysubmitthedisputestothepeople'scourtwithjurisdictionovertheplaceofperformanceofthisContract.Article8:ForceMajeure8.1NeitherpartyshallbeliableforthefailureordelayintheperformanceofitsobligationsunderthisContractduetocausesbeyonditsreasonablecontrol,suchasnaturaldisasters,pandemics,war,strikes,governmentactions,etc.8.2Theaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceandterminationoftheforcemajeureevent.Article9:Miscellaneous9.1ThisContractshallbeeffectiveuponthesigningofbothpartiesandshallbevalidforaperiodof1yearfromthedateofsigning.9.2ThisContractmaybeamendedorsupplementedthepartiesheretothroughwrittenagreement.9.3TheheadingsinthisContractareforconvenienceonlyandshallnotbeusedtointerpretorconstrueitsprovisions.9.4ThisContractshallbegovernedthelawsofthePeople'sRepublicofChina.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.一、附件列表：ProductList：詳細(xì)列出塑料零件的名稱、規(guī)格、數(shù)量、質(zhì)量標(biāo)準(zhǔn)等信息。QualityInspectionReports：產(chǎn)品質(zhì)量檢驗(yàn)報(bào)告。Certifications：相關(guān)產(chǎn)品的認(rèn)證證書。二、違約行為及認(rèn)定：賣方未能按照合同約定時(shí)間交付產(chǎn)品。賣方交付的產(chǎn)品不符合約定的質(zhì)量標(biāo)準(zhǔn)或規(guī)格。買方未能按照合同約定時(shí)間支付款項(xiàng)。買方在收到產(chǎn)品后未按約定時(shí)間進(jìn)行驗(yàn)收或在驗(yàn)收后未在規(guī)定時(shí)間內(nèi)提出質(zhì)量問題。雙方未履行合同中的保密義務(wù)。雙方未履行合同中的友好協(xié)商解決糾紛的義務(wù)。三、法律名詞及解釋：合同：雙方或多方之間設(shè)立、變更、終止民事權(quán)利義務(wù)關(guān)系的協(xié)議。賣方：履行合同義務(wù)，向買方提供產(chǎn)品的一方。買方：履行合同義務(wù)，向賣方支付款項(xiàng)的一方。質(zhì)量標(biāo)準(zhǔn)：產(chǎn)品應(yīng)當(dāng)達(dá)到的性能、功能、安全等方面的要求。違約行為：合同當(dāng)事人不履行合同義務(wù)或者履行合同義務(wù)不符合約定的行為。四、執(zhí)行中遇到的問題及解決辦法：延遲交付：賣方因故無(wú)法按時(shí)交付產(chǎn)品時(shí)，應(yīng)及時(shí)通知買方，并協(xié)商延期交付。產(chǎn)品質(zhì)量問題：買方在收到產(chǎn)品后發(fā)現(xiàn)質(zhì)量問題，應(yīng)在規(guī)定時(shí)間內(nèi)提出，賣方應(yīng)負(fù)責(zé)更
