消防安全檢測(cè)授權(quán)合同編號(hào)：__________partiestothiscontract(hereinafterreferredtoas"PartyA"and"PartyB")haveenteredintothisContractinaccordancewiththeprinciplesofvoluntariness,equality,fairnessandhonesty.BothpartiesagreetoabidethetermsofthisContractandfulfilltheirrespectiverightsandobligationshereunder.Article1:ScopeofWork1.1PartyAauthorizesPartyBtoconductfiresafetyinspectionsandrelatedservicesforPartyA'spremises(hereinafterreferredtoasthe"Premises")locatedat:Address:___________________________1.2ThescopeofservicesprovidedPartyBtoPartyAshallinclude,butnotbelimitedto,thefollowing:(1)Firesafetyequipmentinspectionandmaintenance;(2)Firealarmsystemtestingandmaintenance;(3)Firefightingequipmentinspectionandmaintenance;(4)Firesafetytrainingforpersonnel;(5)Firesafetyauditandevaluation;(6)Otherfiresafetyrelatedservicesasagreedbothparties.Article2:DurationandTermination2.1ThisContractshalltakeeffectfromthesigningdateandshallbevalidforaperiodofone(1)year.TheContractshallautomaticallyrenewforasubsequentone(1)yearterm,unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleastthirty(30)dayspriortotheexpirationofthecurrentterm.2.2eitherpartymayterminatethisContractatanytimewithwrittennoticetotheotherparty,providedthattheterminatingpartyshallbeliableforanyoutstandingobligationsunderthisContract.Article3:PaymentTerms3.1PartyAagreestopayPartyBthefeesfortheservicesrenderedassetforthintheServiceAgreementattachedheretoasExhibitA(the"ServiceAgreement").3.2ThepaymenttermsfortheservicesprovidedPartyBtoPartyAshallbeasfollows:(1)PartyAshallpayPartyB50%ofthetotalfeeupontheexecutionofthisContract;3.3PartyAshallmakeallpaymentstoPartyBinaccordancewiththepaymenttermssetforthinthisArticle,andanylatepaymentsshallbesubjecttoalatepaymentpenaltyof1.5%permonthontheoutstandingamount.Article4:RepresentationsandWarranties4.1PartyArepresentsandwarrantstoPartyBthat:(1)PartyAisalegalentitydulyformedandexistingunderthelawsofthejurisdictionofitsincorporationororganization;(2)PartyAhasallnecessarylicenses,permitsandauthorizationstocarryonitsbusinessaspresentlyconductedandascontemplatedtobeconductedunderthisContract;4.2PartyBrepresentsandwarrantstoPartyAthat:(1)PartyBisalegalentitydulyformedandexistingunderthelawsofthejurisdictionofitsincorporationororganization;(2)PartyBhasallnecessaryqualifications,experience,licenses,permitsandauthorizationstoprovidetheservicescontemplatedunderthisContract;Article5:Confidentiality5.1Bothpartiesagreetomaintaintheconfidentialityofallconfidentialinformation(hereinafterreferredtoas"ConfidentialInformation")disclosedeitherpartytotheotherinconnectionwiththisContract,exceptforinformationthat:(2)IsindependentlydevelopedthereceivingpartywithoutaccesstotheConfidentialInformation;(3)Isrightfullyreceivedthereceivingpartyfromathirdpartywithoutobligationofconfidentiality.5.2ThereceivingpartyshallnotusetheConfidentialInformationforanypurposeotherthantheperformanceofthisContract,andshallnotdisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.Article6:Indemnification6.1PartyAagreestoindemnifyandholdharmlessPartyB,itsofficers,directors,employees,agentsandrepresentatives(hereinafterreferredtoas"IndemnifiedParties")fromandagainstanyandalllosses,damages,liabilities,claims,suits,judgments,fines,penalties,interest,costsandexpenses(includingreasonableattorneys'feesandexpenses)arisingoutoforinconnectionwith:一、附件列表：1.服務(wù)協(xié)議（ServiceAgreement）2.消防設(shè)施清單（FireSafetyEquipmentList）3.消防設(shè)施維護(hù)記錄（FireSafetyEquipmentMaintenanceRecords）4.消防安全評(píng)估報(bào)告（FireSafetyAssessmentReport）5.消防培訓(xùn)資料（FireSafetyTrainingMaterials）6.消防應(yīng)急預(yù)案（FireEmergencyResponsePlan）二、違約行為及認(rèn)定：1.PartyA未按約定時(shí)間支付服務(wù)費(fèi)用，或未支付足額服務(wù)費(fèi)用。2.PartyB未按約定時(shí)間完成消防檢測(cè)及維護(hù)服務(wù)，或服務(wù)未達(dá)到約定的質(zhì)量標(biāo)準(zhǔn)。3.PartyA未按約定提供準(zhǔn)確的Premises信息，或未及時(shí)通知PartyB有關(guān)Premises的變更。4.PartyB未按約定保密PartyA的ConfidentialInformation，未經(jīng)許可披露給第三方。5.任何一方未履行合同項(xiàng)下的其他義務(wù)。三、法律名詞及解釋：1.消防檢測(cè)授權(quán)（FireSafetyInspectionAuthorization）：授權(quán)另一方對(duì)指定的消防設(shè)施進(jìn)行檢測(cè)、維護(hù)和管理。2.服務(wù)費(fèi)用（ServiceFees）：為提供消防檢測(cè)及相關(guān)服務(wù)而收取的費(fèi)用。3.違約行為（BreachofContract）：違反合同約定的行為。4.違約責(zé)任（BreachLiability）：因違約行為而需要承擔(dān)的法律責(zé)任。5.保密信息（ConfidentialInformation）：合同執(zhí)行過(guò)程中涉及的一方未公開的敏感信息。四、執(zhí)行中遇到的問(wèn)題及解決辦法：1.問(wèn)題：PartyA未能及時(shí)支付服務(wù)費(fèi)用。解決辦法：發(fā)送催款通知，如果在合理期限內(nèi)仍未支付，則PartyB可以暫停提供服務(wù)，并有權(quán)要求支付逾期付款的利息。2.問(wèn)題：PartyB未能按約定時(shí)間完成服務(wù)。解決辦法：PartyA可以要求PartyB支付逾期罰款，或根據(jù)合同約定有權(quán)解除合同。3.問(wèn)題：PartyA未提供準(zhǔn)確的Premises信息。解決辦法：PartyB可以要求PartyA立即提供準(zhǔn)確信息，并在必要時(shí)暫停服務(wù)直到信息準(zhǔn)確無(wú)誤。4
