3、ovepricesincludevat17%andthemolddeliveryto.)三、模具開發周期及要求/workdayrequirement1)模具的開發周期/moldworkday首件樣件完成時間/timeoffinishingfirstproductofmold：從接到訂單到首件樣品完成需要天/daysfrombuildingtimearo(afterreceiptoforder)tofirstpom(productofmold)samplepour;開發時間/developmenttime:從首件樣品到整個樣件提交需要天/daysfromfirstsamplepourtosamp

4、lesubmission.2)模具驗收/moldinspection:模具必須符合甲方的技術要求。theproductshallcompletelyfitthetechnicalrequirements.3)由于模具的開發周期和質量問題造成甲方項目延期,乙方將賠償甲方的一切損失。ifpartyasprojectdelayedduetotheworkdayandthequalityofthemold,partybshouldcompensatepartyaforallthelosses.四、模具的維護/moldmaintenance正常使用壽命內的模具在生產過程中發生的損壞或磨損,相關的維修及保

5、養等都由乙方負責。ifthemoldiswithinthenormalworkinglifebutdamagedorwornduringtheproductionprocess,partybshouldberesponsiblefortherelatedrepairandmaintenance.五、模具費用的支付/paymentterms在鑄件得到最終用戶的確認及甲方收到最終用戶模具費用后30天內支付。partyawillfullypaytopartybwithin30daysaftercastingapprovalbyfinalcustomer,andreceiptoftoolingpaym

6、entbypartya.六、模具所有權/ownership模具的所有權為甲方所有,甲方享有收回和處理的權利。moldsownershipbelongstopartya.partyaenjoystherighttotakingbackanddealingwiththemold.七、保密責任/confidentiality1)未經甲方允許，乙方不得將甲方所提供的圖紙及技術資料以口頭、書面、出示和借用的方式轉泄露給第三方。如有發生信息泄露,甲方有權追究其法律責任。withoutthepermissionofpartya,partybshouldnotdisclosethedrawingsandtec

7、hnicalinformationwhichareprovidedbypartyainoral,written,showingandlendingwaytothethirdparty.ifpartybrevealedsuchinformation,partyahastherighttopursuepartybslegalresponsibility.2)當雙方履行完該協議后，乙方必須歸還甲方所提供的用于開發該模具的所有保密信息及其全部副本(不論其是否是在計算機磁盤、光盤讀取器、光盤、硬盤或軟件中或硬拷貝載體上存儲、保存或記錄的);如果乙方退還上述保密信息及其全部副本為不可行，則應將其銷毀，或者

10、用書面形式，否則對本協議的任何修正均屬無效。anyamendmentstothisagreementshallnotbevalidunlessmadebythepartiesinwriting.3)本協議一式兩份，每份皆具有同等法律效力。thisagreementismadeintwooriginalcopies,bothofwhichareequallyvalid.4)本協議在雙方簽訂本協議之日立即生效。thisagreementshalltakeeffectimmediatelyuponthedateofe_ecutionbytheparties.5)凡涉及本協議或因本協議而發生的所有爭執
