合同書Contract合同名稱：Nameofcontract:合同編號：ContractNo.:此合同由如下雙方簽定Thecontractshallbesignedbytwopartiesasfollowing:1、（以下簡稱甲方）(hereinafterreferredtoasPartyA)2、（以下簡稱乙方）(hereinafterreferredtoasPartyB)Theprojectisfriendlynegotiatedbytwopartiesaccordingtonationaleconomiccontractlaw.Nowtheagreementisreachedwitharticlesasfollowing:一、合同價格Contractamount合同總金額為人民幣（含17%增值稅）xxxxxxThetotalamountofthecontractisxxxRMB(including17%VAT)(inwords:xxx).二、工作范圍Workingscope三、付款方式與條件Paymenttermsandconditions3.1、合同生效后，甲方預付合同總價的30%。PartyAshallpay30%ofthetotalcontractamountasdownpaymentafterthecontractissignedandvalid.3.2、完成預驗收后，乙方向甲方開具相應的發票，甲方預付合同總價的30%。Afterthepre-acceptance,PartyAshallpay30%ofthetotalamountagainsttheinvoiceissuedbyPartyB.3.3、在最終客戶完成終驗收，甲方預付合同總價的30%。PartyAshallpay30%ofthetotalcontractamountafterthefinalcustomersfinalacceptance.3.4、質保期為1年，年滿后付合同總價的10%。Afterthewarrantyperiodof1year,thelast10%ofthetotalamountshallbepaid.3.5、合同金額包含往來運費。Thetotalcontractamountshallincludealltransportationfees.3.6、未盡事宜，雙方協商解決。Thetwopartiesshallnegotiateforthesolutiononthemattersnotmentionedherein.四、驗收條件與標準Conditionsandstandardforacceptance五、交貨時間及地點Deliverytimeandplace六、違約責任Responsibilityofbreach如乙方不能按期交貨，每延誤一天按合同總金額的xx%累計違約金。因此影響項目總體進度，乙方除承擔違約責任外，甲方有權提出終止和提出經濟賠償。IfPartyBcannotdeliverthegoodsontime,thepenaltyofxx%ofthetotalcontractamountperdelayeddayshallbepaid.Atthesametime,besidesPartyBtakethebreachresponsibilities,PartyAshallhavetherighttoterminatethecontractandrequestforeconomiccompensation.七、更改Modification7.1、甲方工作內容有小改動，不增減合同總金額，不改變進度計劃；甲方工作內容有較大改動，增加合同總金額，交貨時間不改變。Ifthereissmallmodificationonworkingscope,thetotalcontractamountandthescheduleshallnotbechanged.Whenthereisabiggermodification,thecontractamountshallbeincreased,butthedeliverytimeshallnotbechanged.八、其它條款Otherarticles8.1、本合同正本一式三份，甲方兩份，乙方一份。Thiscontractisintriplicate,PartyAholdstwocopiesandPartyBone.8.2、若發生與本合同或技術條件有關的爭端，雙方應通過友好協商來解決，或經長春仲裁委員會仲裁。Whenthereisthedisputeaboutthecontractandtechnologyconditions,thetwopartiesshallsolvetheproblembyfriendlynegotiationorbearbitratedbyChangchunArbitrationCommittee.8.3、遵守各項安全規章制度，如發生安全事故，由乙方負責。ThesafetyregulationsmustbeobeyedandPartyBshalltakeresponsibilitiesoncethereistheaccidentonsafety.8.
